Sales Goals. The Marketer agrees that during the term of this Agreement, the Marketer will meet and maintain the franchise sales goals ("Sales Goals") set forth in Exhibit I to this Agreement.
Sales Goals. Licensee agrees to attain mutually agreed upon annual sales goals for the product as follows:
(a) No sales goals will exist for the period commencing on the date hereof and ending on the last day of calendar year 2007.
(b) Beginning with calendar year 2008, Licensee and Licensor will meet annually and agree on sales goals for each succeeding year, starting with calendar year 2008. Such agreed upon sales goals for each succeeding year will be in writing, executed by both parties and become part of this agreement.
(c) Should Licensee not attain any of the agreed upon sales goals for any year, Licensor may issue a notice of default to the Licensee. Licensee will then have a period of ninety (90) calendar days from receipt of said notice to cure the sales deficiency. Should the Licensee remain in default at the end of the cure period, Licensor, at their sole discretion, may terminate this agreement upon thirty (30) calendar days notice to the Licensee.
(d) Should Licensee and Licensor be unable to agree on sales goals for any year either party may terminate this agreement upon thirty (30) calendar days notice to the other party.

Failure to meet at least 80% of the sales goals as outlined above for the period indicated is indicative of an unsuccessful effort to distribute the Product in the Territory and the Distributor shall not be entitled to the compensation set out in Exhibit F upon such termination.

Sales Goals. The Sales Goals for Incentive Year One shall be communicated to Ventiv promptly after being finalized by Client management and shall be consistent with Client’s own national sales goals. In the event the Sales Goals are not achieved, Ventiv shall have the ability to earn a proportionate amount of the total incentive fee available in Incentive Year One (i.e. $[***]). The minimum threshold for achievement of the Sales Goals shall be [***]%. For example, in the event Ventiv achieves [***]% of the Sales Goal, Client shall receive a credit of $[***] and if Ventiv achieves [***]% of the Sales Goal, Client shall receive a credit in the amount of $[***]. In addition, if Ventiv achieves more than [***]% of the Sales Goal, Client shall pay Ventiv an additional incentive fee in an amount in proportion to the actual Sales Goal achieved, up to a maximum of [***]%. Credits from Ventiv to Client for failure to achieve Sales Goals in Incentive Year One and Incentive Year Two shall be reflected on the Ventiv invoice to Client in the month following the completion of Sales Goal calculations.
