SALES AND PROMOTIONAL MATERIALS. All Sales and Promotional Materials approved for use in the Territory, whether approved before or after launch of the CombiPatch Product in the Territory, and, if any, in draft form or currently subject to approval for use in the Territory, and held by the Seller or its Affiliates on the Closing Date, excluding Sales and Promotional Materials in the possession or control of the Seller's or its Affiliates' sales

SALES AND PROMOTIONAL MATERIALS. ROCHE develops sales and promotional materials for distribution to the medical community. ROCHE supplies the sales 97 and promotional materials with respect to the Product to PRAECIS, free of charge, in a manner that is equitable.
SALES AND PROMOTIONAL MATERIALS. Except as provided in Section 1.4.3, all sales and promotional materials, catalogues and advertising literature used in connection with or relating to the Business.
SALES AND PROMOTIONAL MATERIALS. A. The Company will develop and provide all "consumer" sales and promotional material for use in marketing the Policies which, in its discretion, it deems appropriate; provided, however, such material will include a separate and fully descriptive brochure for each Policy. In addition, the Company will develop software applications for use in marketing the Exclusive Policies. NSM shall be responsible for the creation of any other sales and promotional material it desires to use in the marketing of the Policies, including all expenses associated with the creation of such sales and promotional materials; provided, however, that every piece of sales and promotional material must be approved by the Company prior to the use of such materials in accordance with Section IV, C, below. The Company shall be responsible for delivering all sales and promotional materials it creates to NSM in such quantities as NSM requires. NSM shall be responsible for storing all sales and promotional materials and for fulfilling requests from Agents for copies of the same.
SALES AND PROMOTIONAL MATERIALS. All sales and promotional literature, customer lists and other sales-related materials owned, used or employed in the Business, whether current or historical; PROVIDED THAT, subject to Section 11.2 herein, Buyer shall not have the right to use any materials while such materials contain Parent's or Seller's name;

  • Promotional Materials In the event that the Fund or the Adviser makes available any promotional materials related to the Securities or the transactions contemplated hereby intended for use only by registered broker-dealers and registered representatives thereof by means of an Internet web site or similar electronic means, the Adviser will install and maintain, or will cause to be installed and maintained, pre-qualification and password-protection or similar procedures which are reasonably designed to effectively prohibit access to such promotional materials by persons other than registered broker-dealers and registered representatives thereof.

  • Promotional Material In the event that the Fund or the Investment Adviser makes available any promotional materials related to the Securities or the transactions contemplated hereby intended for use only by registered broker-dealers and registered representatives thereof by means of an Internet web site or similar electronic means, the Investment Adviser will install and maintain or will cause to be installed and maintained, pre-qualification and password-protection or similar procedures which are reasonably designed to effectively prohibit access to such promotional materials by persons other than registered broker-dealers and registered representatives thereof.

  • Advertising and Promotional Materials The Purchaser acknowledges and agrees that the Vendor shall have the right to use drawings, photographs, videos or other depictions of the interior and/or exterior of the Dwelling and/or the Subdivision or any components or features thereof in any promotional or advertising materials without notice to or consent from the Purchaser being required in any manner whatsoever.

  • Marketing Materials (a) During the term of this Agreement, the Sub-Adviser agrees to furnish the Manager at its principal office for prior review and approval by the Manager all written and/or printed materials, including but not limited to, PowerPointÒ or slide presentations, news releases, advertisements, brochures, fact sheets and other promotional, informational or marketing materials (the “Marketing Materials”) for internal use or public dissemination, that are produced or are for use or reference by the Sub-Adviser, its affiliates or other designees, broker-dealers or the public in connection with the Series, and Sub-Adviser shall not use any such materials if the Manager reasonably objects in writing within five business days (or such other period as may be mutually agreed) after receipt thereof. Marketing Materials may be furnished to the Manager by first class or overnight mail, facsimile transmission equipment, electronic delivery or hand delivery.

  • Product Labeling The labeling of all Licensed Products sold or offered for sale under this Agreement shall expressly state that the Licensed Product is manufactured under a license from the Medicines Patent Pool.

  • Instructional Materials A. The Board recognizes that appropriate texts, library reference facilities, maps and globes, laboratory equipment, audio-visual equipment, art supplies, athletic equipment, current periodicals, standard tests and questionnaires, computers, and similar materials are the tools of the teaching profession.

  • SALES MATERIALS 4.1 LIFE COMPANY will furnish, or will cause to be furnished, to TRUST and ADVISER, each piece of sales literature or other promotional material in which TRUST or ADVISER is named, at least ten (10) Business Days prior to its intended use. No such material will be used if TRUST or ADVISER objects to its use in writing within seven (7) Business Days after receipt of such material.

  • Licensed Materials The materials that are the subject of this Agreement are set forth in Appendix A ("Licensed Materials").

  • Training Materials Training Materials will be provided for each student. Training Materials may be used only for either (i) the individual student’s reference during Boeing provided training and for review thereafter or (ii) Customer’s provision of training to individuals directly employed by the Customer.

  • Course Materials The adoption of any course materials, print or electronic, after a Course Agreement is signed will require an agreed and signed addendum.
