Common use of Sale and Purchase Clause in Contracts

Sale and Purchase. Subject to the terms and conditions hereof, at the Closing (as defined in paragraph 1.2 below), Seller agrees to sell, assign, transfer, convey and deliver to Buyer, and Buyer agrees to purchase the Shares from Seller.

At the Closing, upon payment of the Purchase Price (as defined in paragraph 1.3 below) the Company is instructed to amend its stock transfer records to reflect the transfer of the Preferred Shares from SellerSeller to Buyer.

The Shares and the Purchase Price, as defined below, are to be transferred and paid, respectively, through the Escrow Agent pursuant to the terms and conditions of the Escrow Agreement, which is incorporated herein by reference.

Sale and Purchase. Subject to the terms and conditions hereof, at the Closing (as defined in paragraph 1.2 below), Seller agrees to sell, assign, transfer, convey and deliver to Buyer or Buyer’s assignee, and Buyer agrees to purchase the Shares from Seller, the Shares.

Subject to the terms and conditions hereof, at the Closing (as defined in paragraph 1.2 Section 2.03 below) Seller hereby agrees to sell to the Purchasers, and the Purchasers hereby agree to purchase from Seller, the Purchased Units for an amount equal to the Purchase Price (as defined in Section 2.05 below), Seller agrees to sell, assign, transfer, convey and deliver to Buyer, and Buyer agrees to purchase the Shares from Seller.

Subject to the terms and conditions hereof, at the Closing (as defined in paragraph 1.2 below), Seller agrees to sell, assign, transfer, convey and deliver to Buyer, and Buyer agrees to purchase the Shares from Seller, the Interests which together constitute 100% of the issued and outstanding Interests of the Company.

Sale and Purchase. Subject to the terms and conditions hereof, at the Closing (as defined in paragraph 1.2 below), Seller agrees to sell, assign, transfer, convey and deliver to Buyer, and Buyer agrees to purchase the Shares from Seller, the Share.

Subject Pursuant to the terms and conditions hereof, at the Closing (as defined in paragraph 1.2 below)set forth herein, Seller hereby agrees to sell, assign, transfer, convey assign and deliver to BuyerBuyer at the Closing all right, title and interest in and to the Interests, and Buyer agrees to purchase accept the Shares same from Seller.

Sale and Purchase. Subject to the terms and conditions hereof, at the Closing (as defined in paragraph 1.2 below), Seller agrees to sell, assign, transfer, convey and deliver to Buyer, and Buyer agrees to purchase the Shares and accept from Seller, the Assets at the Closing.
