Common use of Sale and Purchase of the Securities Clause in Contracts

Sale and Purchase of the Securities. On the basis of the representations, warranties and agreements herein contained, the Corporation proposes to issue and sell the Securities. All of the Securities will be purchased by the Underwriters for resale upon the terms of the offering determined herein and in the Underwriting Agreement. The obligations of the Underwriters under this Agreement are several and not joint.
