SALARY, WAGES AND BENEFITS. Salary Schedules – See Appendix B (Applies with this addition) In addition to his/her base salary, a Laboratory Technician and Tutorial Laboratory Coordinator whose salary is at or above the highest salary step shall receive an annual non-cumulative stipend equal to the percentage increase in the salary schedules times his/her salary.
SALARY, WAGES AND BENEFITS. Effective as of the Closing and continuing for one (1) year thereafter, Buyer will, or will cause its Affiliates, the Surviving Company and its Subsidiaries to, provide all employees of the Company and its Subsidiaries immediately prior to the Closing Date, including those on lay-off, medical, disability, family or other leave of absence, paid or unpaid (the "Retained Employees") with base salaries or hourly wage rates, annual cash bonus opportunities and other employee benefits (including severance benefits but excluding any equity compensation or long-term incentive compensation) that are substantially comparable in the aggregate to either (1) those provided to the Retained Employees immediately prior to the Closing or (2) those provided by the Buyer and its Affiliates to similarly situated employees of the Buyer and its Affiliates. Nothing in this Section 9.02(a) will obligate Buyer or the Surviving Company or any of its Subsidiaries to continue (and will not prevent Buyer or the Surviving Company or any of its Subsidiaries from terminating) the employment of any such Retained Employee.

Any Accrued Benefits to which the Executive is entitled shall be paid to the Executive as provided in the relevant plans and arrangements.
