Risks of Investment. The Lender acknowledges that the Notes, the Warrants and the Shares (together, the “Securities”) have not been registered under the Securities Act of 1933, as amended (the “Act”). The Lender is familiar with the provisions of Rule 144 under the Act and understands that in the event all of the applicable requirements of Rule 144 are not satisfied, registration under the Act or some other exemption from the registration requirements of the Act will be required in order to dispose of the Notes, the Warrants and the Shares, and that the Lender may be required to hold the Notes, the Warrants and the Shares for a significant period of time prior to reselling them. The Lender is capable of assessing the risks of an investment in the Securities and is fully aware of the economic risks thereof.
