RIGHTS EXPLOITATION OUTSIDE THE FIELD Clause Samples

The 'Rights Exploitation Outside the Field' clause defines how rights to use or commercialize intellectual property are handled in areas not covered by the main agreement's specified field. Typically, this clause clarifies whether the licensee or licensor retains the ability to exploit the IP in unrelated industries or applications, such as using a patented technology in a different market sector. Its core function is to prevent disputes and ensure both parties understand the boundaries of their rights, thereby allocating opportunities and risks for uses outside the original scope of the agreement.
