Rights and Obligations Surviving Termination. The rights and obligations of the Parties that are intended to survive a termination of this Agreement are all such rights and obligations that this Agreement expressly provides survive such termination as well as those rights and obligations arising from either Parties’ covenants, agreements, representations or warranties applicable to, or to be performed, at, before or as a result of the termination of this Agreement, including:
Rights and Obligations Surviving Termination. The rights and obligations of the Parties that are intended to survive a termination of this Agreement are all such rights and obligations that this Agreement expressly provides survive such termination as well as those rights and obligations arising from either Parties’ covenants, agreements, representations or warranties applicable to, or to be performed, at, before or as a result of the termination of this Agreement, including: The obligation of Buyer to make all outstanding Monthly Contract Payments for periods before termination of this Agreement; The obligation of Buyer to invoice Seller for all payment adjustments for periods before termination of this Agreement, as set forth in Section 4.02; The obligation of Seller to pay any Buyer payment-adjustment invoice described in Section 4.03(b) for periods before termination of this Agreement within 30 days of Seller’s receipt of such invoice; The obligation to make a Termination Payment, as set forth in Section 6.03; The indemnity obligations, as set forth in Section 9.03; The obligation of confidentiality, as set forth in Section 9.09; The right to pursue remedies under Section 6.02(c); The limitation of damages under Article Seven;
Rights and Obligations Surviving Termination. Following any termination of this Agreement as provided in subparagraph 5(D) or in 5(E), NAI shall have no obligation to continue or complete any Work; provided, however, no termination of this Agreement shall reduce or excuse the following rights and obligations of the parties, it being intended that all such rights and obligations shall survive and continue after any such termination:
Rights and Obligations Surviving Termination. In the event the Property is rented, upon termination of Buyer’s rights in the Property, Buyer will provide an accounting to Seller of any prepaid rents and deposits received by Buyer from the Property, which obligation will survive termination. Notwithstanding the termination of Buyer’s rights to the Property, Buyer will be liable to Seller for any failure to maintain the property as required in Paragraph 4A, as well as for any unpaid taxes or utilities liens which survive the termination of Buyer’s rights, prepaid rent, and rental deposits.
Rights and Obligations Surviving Termination. Applicable provisions of this Agreement shall continue in effect after termination, including early termination, to the extent necessary to enforce or complete the duties, obligations or responsibilities of the Parties arising prior to termination and, as applicable, to provide for: final xxxxxxxx and adjustments related to the period prior to termination, repayment of any money due and owing to either party pursuant to this Agreement, and the indemnifications specified in this Agreement.
Rights and Obligations Surviving Termination. The rights and obligations that are intended to survive a termination of this Designated Load Agreement, including termination pursuant to Section 8.4, are all of those rights and obligations that this Designated Load Agreement expressly provides survive any such termination and those that arise from Distributed Generator’s, Designated Load Customer’s or SCE’s covenants, agreements, representations, and warranties applicable to, or to be performed, at or during any time before or as a result of the termination of this Designated Load Agreement, including but not limited to:
Rights and Obligations Surviving Termination. The termination designated above shall include termination of rights and obligations designated in Section 12.5 as surviving termination of the License Agreement, except rights and obligations as provided in Sections 3, 7, 8, 14, 15 (except for Section 15.1.2 as described below) and 16.

The rights and obligations that are intended to survive a termination of this DGS Agreement, including termination pursuant to Section 10.4, are all of those rights and obligations that survive termination and those that arise from Distributed Generator’s or SCE’s covenants, agreements, representations, and warranties applicable to, or to be performed, at or during any time before or as a result of the termination of this DGS Agreement, including but not limited to:
Rights and Obligations Surviving Termination. The termination of this Agreement for any reason shall not affect the rights and obligations of the parties under sections 12-26 or any other obligation or liability which either party has to the other under this Agreement and which, by its nature, would be expected to survive termination. All causes of action accruing prior to the termination of this Agreement shall similarly survive termination unless otherwise barred by applicable statutes of limitations.
