Right to Suspend Performance. In the event of default or delay in payment greater than 45 days from the date of delivery of the monthly invoice, ExED reserves the right to suspend part or all of its performance of duties under this Agreement until all amounts for Services that are due and payable are paid in full. In the event Client disputes all or any portion of the invoice that is due, Client shall notify ExED within 20 days of receipt of the invoice; and initiate the dispute resolution process under Section 10 hereof, but shall pay the invoice in full, pending the outcome of such process.
Right to Suspend Performance. In the event of default or delay in payment greater than 45 days from the date of delivery of the monthly invoice under this SC Agreement or the Master Agreement, regardless of the party designated herein as the Responsible Party, ExED reserves the right to suspend part or all of its performance of duties under this SC Agreement until all amounts due hereunder and under the Master Agreement have been paid in full to ExED’s satisfaction. If either Related Client disputes all or any portion of the invoice that is due, Related Client shall notify ExED within 20 days of receipt of the invoice and initiate the dispute resolution process under the Master Agreement (also incorporated herein by reference), but shall pay the invoice in full, pending the outcome of such process.
Right to Suspend Performance. In the event of a breach of this Agreement by Customer, including without limitation, Customer’s failure to pay any applicable fees, Hexagon may, without prejudice to any other right or remedy available to Hexagon, suspend performance and/or Customer access under this Agreement until the breach is cured.
Right to Suspend Performance. 17.1 The Contractor will have the right, before fulfilling its obligations, to demand full payment and/or adequate security – for instance in the form of a bank guarantee – of the Customer if it is likely that the Customer will not or will not be able to fulfil its obligations correctly and/or in a timely manner, and/or if the Customer entirely fails to fulfil its obligations.
Right to Suspend Performance. 12.1 If and for as long as Buyer fails to meet any of its obligations arising from its Agreement with HIT Trading, or any associated agreement, appropriately or on time, HIT Trading has the right to suspend fulfillment of its obligations under an Agreement.

If Licensee fails to make a payment to Licensor, Licensor Affiliate, or Reseller, or otherwise breaches the terms of this Agreement, Licensor may, without prejudice to any other right or remedy available to Licensor, suspend performance (e.g., delivery of Software, License Files, services), and / or suspend Licensee’s license as to the Licensed Materials. In addition, Licensor may do the same if Licensor has reasonable grounds for insecurity concerning Licensee’s performance under this Agreement.

In addition to the right to terminate pursuant to Section 16.4.1, upon the occurrence and during the continuance of an Event of Default, either Party shall have the right to suspend its performance hereunder of any portion thereof until such Event of Default has been cured, in which case, with respect to any suspension of performance, the affected Party shall be entitled to a Change Order for any increased costs and for any impact to the Guaranteed Delivery Dates attributable to the suspension of such performance.

In the event School disputes all or any portion of the invoice that is due, School shall notify LAUP within 20 days of receipt of the invoice; and initiate the dispute resolution process under Section 10 hereof, but shall pay the invoice in full, pending the outcome of such process.
Right to Suspend Performance. A. Media Suite may, after a careful weighing of interests, suspend the performance of all its obligations, including handing over documents, materials, information or other items to the Client or any third party, until such time as all amounts owed and payable by the Client on demand have been settled in full.
