Right to Exercise, Number of Shares and Exercise Price. Subject to and upon compliance with the conditions of this ARTICLE II, the Holder shall have the right, at its option, at any time and from time to time during the Exercise Period, to exercise this Warrant in whole or in part. The aggregate number of shares of Common Stock which may be purchased from time to time during the Exercise Period by the Holder upon exercise of this Warrant shall be 3,150,000 subject to adjustment as provided in ARTICLE IV hereof (the "Shares"), and the initial Exercise Price shall be fifty cents ($0.50) (subject to adjustment as provided in Section 4.3(e)). Notwithstanding the foregoing, the aggregate exercise price for the shares issuable under this Warrant shall not exceed One Million Five Hundred Seventy Five Thousand Dollars ($1,575,000.00).
