Review of agreements. (a) In reviewing foreign license and technical assistance agreements be- tween primary and second sources, the Department concerned shall, insofar as its interests are involved, indicate whether the agreement meets the re- quirements of §§ 124.07–124.10 of the International Traffic in Arms Regula- tions or in what respects it is deficient. Paragraphs (b) through (g) of this sub- section provide general guidance.
Review of agreements. (a) Send proposed agreements through the head of the contracting activity to appropriate patent and technical personnel for review. Review of agreements. The Investor has reviewed the Disclosure Documents. The Investor acknowledges that certain of the Disclosure Documents include “forward looking” statements that involve a number of risks and uncertainties, including the risks and uncertainties referred to in the Company’s Annual Report on Form 10-K most recently filed with the Securities and Exchange Commission.
Review of agreements. Each Stockholder agrees that such Stockholder has carefully read this Agreement and the Merger Agreement and discussed the requirements of such documents and other applicable limitations upon such Stockholder’s ability to vote the Shares and sell, transfer or otherwise deal with such Stockholder’s Company Securities to the extent such Stockholder felt necessary, with such Stockholder’s counsel. Such Stockholder has not relied upon Kxxxxxxx & Exxxx LLP, counsel for the Company, or Shearman & Sterling LLP, counsel to Parent, in connection with such Stockholder’s decision to execute this Agreement or otherwise in connection with any other document or agreement such Stockholder has entered into in connection with the Merger Agreement or the Transactions.
Review of agreements. PNG shall have the right to review any third party agreement entered into by Prana granting rights with respect to the Assigned Patent Rights (whether such agreement transfers, sells, assigns, encumbers, pledges, mortgages, licenses, sublicenses, grants rights to prosecute or enforce and covenants not to sue) prior to Prana signing such an agreement, subject to written obligations of confidentiality and non-use that are consistent with those contained in the Patent Assignment Agreement. The final decision on the agreement's terms and conditions (in accordance with the foregoing), timing and the third party remains solely at Prana's discretion. Upon execution of each agreement or any amendment thereto, Prana shall provide PNG with a copy of such executed agreement and any amendment thereto.
Review of agreements. Buyer shall have until the Decision Date to review the documents and other materials delivered pursuant to Section 3.1. If on the basis of such review, Buyer determines in its sole and absolute discretion that the Property is not suitable for Buyer's intended use, then on or before the Decision Date, Buyer may deliver written notice to Seller to terminate this Agreement in accordance with Section 3.5
Review of agreements. Each Shareholder agrees that such Shareholder has not relied upon Shearman & Sterling LLP, counsel to Parent, or Kxxxxxxx & Exxxx LLP, counsel for the Company, in arriving at such Shareholder’s decision to execute this Agreement or otherwise in connection with any other document or agreement such Shareholder has entered into in connection with the Merger Agreement or the Transactions.
Review of agreements. Part of the purpose of the “In Person Meeting” is to review the Rental Agreement that both parties will be signing and to Go over Park Rules and other requirements of the resort. We do not provide rental agreements in advance to review. If your buyer would like to see a rental agreement prior to meeting with us the seller can provide a copy of theirs. It should be noted that the rental agreements are reviewed yearly by the resort’s attorney and updated as needed so if the buyer does review the seller’s rental agreement it may not be exactly the same as the one they will be signing.
Review of agreements. Brigade has been provided with copies of all material agreements in Schedule "F". Brigade has reviewed all such agreements and acknowledges such agreements are satisfactory for Brigade's needs to continue the business.
Review of agreements. All contracts, subcontracts, coordination contracts entered into by the Operator to fulfill this Agreement will be reviewed annually by the Coordinator and the LCB for conformance with the requirements of this Agreement. Upon a determination of nonconformance, Operator shall modify the nonconforming contract to bring it into compliance within 45 days of the notice of nonconformance, or the Coordinator may terminate this Agreement upon 15 days written notice. Notice shall be delivered by certified mail, return receipt requested, or in person, with proof of delivery. Notice shall be effective upon receipt.
