REVENUE RULING. Whitney may elect to prepare (and in that event Citizens shall cooperate in the preparation of) a request for a ruling from the Internal Revenue Service with respect to certain tax matters in connection with the transactions contemplated by this Agreement and the Merger Agreements.
REVENUE RULING. Exchangors shall have the right to apply for a Revenue Ruling from the IRS that the transaction shall be tax-free to the Exchangors, but the receipt of said Revenue Ruling shall not be a condition precedent to Closing.
