Retransmission Consents. With respect to any retransmission consent agreements for broadcast signals carried on the TCI Systems on the date of this Agreement and on the date of the Closing that are included as part of the TCI Excluded Assets, all required retransmission consents for continued carriage of such broadcast signals by the Company have been obtained on terms and conditions reasonably acceptable to Insight.
Retransmission Consents. With respect to any retransmission consent agreements for broadcast signals carried on the Insight Systems on the date of this Agreement and on the date of the Closing that are included as part of the Insight Excluded Assets, all required retransmission consents for continued carriage of such broadcast signals by AT&T Broadband have been obtained on terms and conditions reasonably acceptable to AT&T Broadband.
Retransmission Consents. Buyer shall have obtained ----------------------- authorization, on terms reasonable and customary in the industry for cable system operators and broadcast stations of similar size, to carry KCBS, KNBC, KABC, KTTV, KTLA and KCOP on the System from and after Closing.

With respect to any retransmission ----------------------- consent agreements for broadcast signals carried on the Systems on the date of this Agreement and on the date of the Closing that are included as part of the Excluded Assets, all required retransmission consents for continued carriage of such broadcast signals by Insight have been obtained on terms and conditions reasonably acceptable to Insight.
Retransmission Consents. With respect to any retransmission ----------------------- consent agreements for broadcast signals carried on the TCICP Systems that are included as part of the TCICP Excluded Assets, all required retransmission consents for continued carriage of such broadcast signals have been obtained on terms and conditions reasonably acceptable to Continental. With respect to any retransmission consent agreements for broadcast signals carried on the Continental Systems, Continental shall have been relieved of any obligations under such retransmission consent agreements after the Closing Date or indemnified by TCICP with respect thereto to the reasonable satisfaction of Continental.
Retransmission Consents. Except as disclosed on Schedule 5.20, no monies are being paid for retransmission consents with respect to the Systems, and Seller is not a party to any contract which obligates it to pay monies for retransmission of signals with respect to the Systems.
Retransmission Consents. All broadcast station signals retransmitted on any of the CATV Systems, excluding superstations carried pursuant to 47 C.F.R. ss. 76.64, are being retransmitted either pursuant to a broadcast station's must carry election or a retransmission consent agreement authorizing the retransmission of the station's signal. Except as provided in Schedule 3.07(j), each such retransmission consent agreement is in full force and effect, is effective and valid through at least December 31, 1999 and is consistent with FCC rules and policies, and there is no dispute or claim pending by any broadcast station, or, to Sellers' Knowledge, threatened, with respect to any broadcast station's carriage, lack of carriage or channel position by any System. Except as set forth on Schedule 3.07(j), no retransmission consent agreement requires a cash payment by the Sellers or imposes other material conditions. As of the date of this Agreement, Sellers have not received any request or demand to lease channel capacity on any of the Systems pursuant to Section 612 of the Communications Act. Sellers have provided Buyer with true and complete copies of all retransmission consent agreements, including all amendments relating thereto.
Retransmission Consents. Enter into any agreement with ----------------------- respect to the retransmission of signals of commercial stations, Buyer's consent to such agreement not to be unreasonably withheld, provided, however, that Buyer shall not be required to consent to any such agreement which would require a payment by Buyer;
Retransmission Consents. Prior to the Closing, the Buyer and the Seller shall use commercially reasonable efforts to cause any Retransmission Consent Agreement to which the Seller is a party that is assignable to be assigned to Buyer at the Closing.
Retransmission Consents. Company shall, and shall cause each Company ----------------------- Subsidiary to, use commercially reasonable efforts to renew each retransmission consent agreement to which it is a party, on terms which are not materially more adverse to Company or such Company Subsidiary, as applicable, than such retransmission consent agreement as in effect on the date hereof. Company shall not, and shall cause each Company Subsidiary not to, renew any retransmission consent agreement to which it is a party on terms which are materially more adverse to Company or such Company Subsidiary, without the consent of Merger Partner, such consent not to be unreasonably withheld.
