RESTRICTIONS ON USE AND TRANSFER. You agree that you will not sell, copy, modify, decompile, disassemble, or export the Software from the country where such Software is furnished to you, or transfer or sublicense the Software, or any copy, modification, or merged portion of such program in whole or in part, except as expressly provided for in this License.
RESTRICTIONS ON USE AND TRANSFER. The Licensor grants the Licensee with as many licenses for use of the MicroCosm® GNSS Prep Software as are paid for by the Licensee pursuant to Section 7. The Licensor will provide the Licensee with one operational copy of the MicroCosm® GNSS Prep Software for each such license. The Licensee may use the MicroCosm® GNSS Prep Software only in the country of the Licensee's initial address, as set forth in Section 21, or in the “country of ultimate destination” as specified in the Licensee’s purchase order and as agreed to by the Licensor by acceptance of the Licensee’s purchase order. The Licensor shall be deemed to have accepted the Licensee’s purchase order by issuing an invoice for payment in full and by receipt of that payment. Although the Licensee may change its address, as set forth in Section 21, it may not change the country of its address for purposes of this Section 4 without prior written consent of the Licensor. The Licensee acknowledges and agrees that its export of the MicroCosm® GNSS Prep Software may constitute a violation of law. The MicroCosm® GNSS Prep Software and any Developed Software may not be used at any one time on more computers than is equal to the number of licenses granted hereunder. The MicroCosm® GNSS Prep Software will be furnished on Licensor supplied optical or magnetic media or via electronic transfer. The Licensee may not reverse engineer, disassemble or decompile the MicroCosm®

If you have licensed a Lab Pack, you may install the program on five computers. THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE PRODUCT IS ASSUMED BY YOU.

You may not sublicense, rent, lease, assign or otherwise transfer the Licensed Software or any of Your rights thereto, either in whole or in part, to anyone else, except that You may, after obtaining written permis- sion from Dacons, permanently transfer the Licensed Software in its entirety, provided You retain no copies of the Licensed Software and the transferee agrees to the terms and conditions of this Agreement. Use of the Licensed Software with a License Key obtained from a source other than Dacons or its authorized resellers is expressly and strictly forbidden. Dacons reserves the right to take any and all actions that Dacons, in its sole discretion, deems necessary to protect against, monitor and control the use of the Licensed Software with illegal License Keys. You agree to ensure that anyone who uses any portion of the Licensed Software provided to You complies with the terms and conditions of this Agreement.
RESTRICTIONS ON USE AND TRANSFER. Sankyo shall use the ArQule Compounds only for the purposes contemplated by this Agreement, and shall not transfer the ArQule Compounds to any third party without the prior written consent of ArQule. Except as expressly permitted herein, Sankyo shall not attempt to identify the ArQule Compounds in the Mapping Array Libraries or Compass Array Libraries. In the case of Proprietary Materials other than ArQule Compounds, the Recipient agrees to use such Proprietary Materials only for the purposes indicated by the Provider, and shall not transfer the Proprietary Materials to any third party without the prior written consent of the Provider. The Recipient further agrees to inform its employees and consultants about the proprietary nature of the Proprietary Materials and to take reasonable precautions, at least as stringent as those observed by the Recipient to protect its own Proprietary Materials, to ensure that such employees and consultants observe the obligations of the Recipient under this Section 9.2.2.
