Common use of Restriction on Transfer Clause in Contracts

Restriction on Transfer. Except for any Permitted Transfer, Participant shall not transfer, assign, encumber or otherwise dispose of any of the Purchased Shares which are subject to the Repurchase Right.

In addition, Restricted Shares that become vested in accordance with the Repurchase Rightterms of this Agreement shall not be transferred, assigned, encumbered or otherwise disposed of in contravention of the First Refusal Right or the Market Stand-Off.
