Restriction on Assignments. Except as expressly provided in this Section 20, (a) neither Party may assign this Agreement or any of its rights or obligations hereunder without the prior written consent of the other Party, and (b) Seller may not cause or allow any of the membership interests in Seller to be transferred, sold, pledged or encumbered between the Execution Date and the ninetieth (90th) day following such Execution Date without the prior written consent of PacifiCorp.
