Restriction on Assignments. Except as provided in this Section 20, neither Party may assign this Agreement or any of its rights or obligations without the prior written consent of the other Party; provided that if Seller’s proposed assignee agrees in writing to be bound by the terms and conditions of this Agreement, possesses the same or a better level of experience developing and operating facilities like the Facility as that of Seller, and has the same or better creditworthiness scores as that of Seller, PacifiCorp’s consent shall not unreasonably be withheld.‌
