Common use of Restricted Stock Legend Clause in Contracts

Restricted Stock Legend. (i) Each Exchange Share will bear the Restricted Stock Legend if the Note upon the exchange of which such Exchange Share was issued was (or would have been had it not been exchanged) a Transfer-Restricted Security at the time such Exchange Share was issued; provided, however, that such Exchange Share need not bear the Restricted Stock Legend if the Company determines, in its reasonable discretion, that such Exchange Share need not bear the Restricted Stock Legend.
