Responsibility for Joint Program Patents. The Parties shall consult with each other regarding all aspects of the Prosecution of any related Joint Program Patents. The Parties shall determine which of them shall have the primary right to prepare, file, prosecute and maintain the Program IP claimed by such Patents (the responsible Party in each such instance being referred to as the "Controlling Party").
