Responsibilities of Sub-Adviser. Subject always to the supervision of the Adviser and the Company’s Board, the Sub-Adviser will furnish an investment program in respect of, make investment decisions for, and place all orders for the purchase and sale of securities for the Company, all on behalf of the Adviser.
Responsibilities of Sub-Adviser. (a) In carrying out its obligations under this Agreement, the Sub-Adviser agrees to: (i) comply with (A) the Approved Investment Program; (B) all applicable provisions of the 1940 Act and the Advisers Act, and the rules, regulations and interpretive positions adopted or issued thereunder; (C) provisions of the Corporation's Articles of Incorporation, as they may be amended from time-to-time and as provided to the Sub-Adviser (the "Charter"); (D) provisions of the Corporation's Bylaws, as they may be amended from time-to-time, and resolutions of the Board as may be adopted from time-to-time; each as provided to the Sub-Adviser; (E) provisions of the Internal Revenue Code of 1986, as amended (the "Code"), applicable to the Corporation or the Fund; and (F) any other applicable provisions of federal or state law; (ii) furnish the Corporation and the Adviser with such periodic and special reports as the Corporation or Adviser may reasonably request; (iii) maintain all accounts, books and records with respect to the Segment as are required pursuant to the 1940 Act and Advisers Act, and the rules thereunder; provided that in compliance with the requirements of Rule 31a-3 under the 1940 Act, the Sub-Adviser hereby agrees that all records that it maintains with respect to the Segment are the property of the Corporation, agrees to preserve for the periods set forth in Rule 31a-2 under the 1940 Act any records that it maintains for the Segment and that are required to be maintained by Rule 31a-1 under the 1940 Act, and further agrees to surrender promptly to the Corporation any records that it maintains for the Segment upon request by the Corporation or the Adviser. The Sub-Adviser may keep copies thereof to meet its regulatory obligations; (iv) observe and comply with Rule 17j-1 under the 1940 Act and the Sub-Adviser's Code of Ethics adopted pursuant to such Rule 17j-1 and Rule 204A-1 under the Advisers Act as the same may be amended from time to time, promptly forward to the Adviser a copy the Sub- Adviser's Code of Ethics and any material amendment thereto along with certifications that the Sub-Adviser has implemented procedures for administering the Sub-Adviser's Code of Ethics; (v) promptly provide a current copy of the Sub- Adviser's Form ADV and any amendments thereto; (vi) supply reports, evaluations, analyses, statistical data and information within its possession or control to the Adviser, the Board or to the Corporation's officers and other service provide...
Responsibilities of Sub-Adviser. Without limiting the generality of the foregoing, the Sub-Adviser shall, during the term and subject to the provisions of this Agreement, manage the investment and reinvestment of the assets of the BDC, subject to oversight by the Board and supervision by the Adviser. Without limiting the generality of this delegation of investment responsibility, the Sub-Adviser shall perform the following functions: (i) make recommendations to the Adviser as to the composition of the portfolio of the BDC, the nature and timing of the changes therein and the manner of implementing such changes; (ii) assist the Adviser in identifying, evaluating and negotiating the structure of the investments made by the BDC; (iii) assist the Adviser in closing and monitoring the BDC’s investments; (iv) assist the Adviser in determining the securities and other assets that the BDC will purchase, retain, or sell; (v) assist the Adviser in performing due diligence on prospective portfolio companies; and (vi) provide the Adviser and the BDC with such other investment advisory, research and related services as the Adviser or BDC may, from time to time, reasonably require for the investment of its funds. Notwithstanding the foregoing, however, all investment decisions will ultimately be the responsibility of the Adviser, subject to oversight by the Board. Furthermore, the parties acknowledge and agree that the Sub-Adviser shall be required to provide only the services expressly described in Section 1(b), and shall have no responsibility to provide any other services to the Adviser or the BDC, including, but not limited to, administrative (such as valuation-related services), management or other similar services.
Responsibilities of Sub-Adviser. (a) Sub-Adviser acknowledges that the Fund will seek to achieve its investment objective(s) ("Fund Objective(s)") by investing and reinvesting its assets primarily in a portfolio of equity interests issued by limited partnerships, limited liability companies, business trusts and similar business vehicles (with respect to Designated Assets, limited partnerships, limited liability companies, business trusts and similar business vehicles selected by Sub-Adviser) whose primary business is investing in securities and other financial instruments but that are not registered currently or required to register currently as investment companies under the 1940 Act by virtue of the exclusion from the definition of "investment company" provided by Section 3(c)(1) or Section 3(c)(7) of the 1940 Act ("Portfolio Funds"). From time to time assets may be invested in registered investment companies (limited to money market funds) as allowable under the 1940 Act and provided that appropriate fee adjustments are made as required under the 1940 Act. Accordingly, in providing sub-advisory services to the Adviser and the Fund hereunder, the Sub-Adviser shall perform the following duties on a continuous and ongoing basis ("Portfolio Management Services"), in each case based upon its professional skill, experience and judgment:

Responsibilities of Sub-Adviser. If Xxxxxxxxx wishes for the Sub-Adviser to place orders for the purchase and sale of securities relating to the Liquid Investment strategy for the Company pursuant to this Agreement, Xxxxxxxxx will, in its discretion, notify and instruct the Sub-Adviser on the parameters in accordance with which the Sub-Adviser will furnish an investment program in respect of, make investment decisions for, and place such orders for the purchase and sale of securities relating to the Liquid Investment strategy for the Company, all on behalf of Xxxxxxxxx. Such notice will include, but not be limited to, the parameters of the Company’s investment guidelines relating to its Liquid Investment strategy, the maximum amount to be invested, and any other limitation of the purchase and sale of securities relating to the Liquid Investment strategy. For the avoidance of any doubt, the percentage of the Company’s portfolio allocated to the Liquid Investment strategy will be managed by, and be at the sole discretion of, Xxxxxxxxx, which may be increased or decreased from time to time.

Such investment program will include, but not be limited to, the parameters of the Fund’s investment guidelines relating to its Liquid Investment strategy, and the percentage of the Fund’s portfolio allocated to the Liquid Investment strategy. For the avoidance of any doubt, the percentage of the Fund’s portfolio allocated to the Liquid Investment strategy will be managed by, and be at the discretion of, the Adviser, which may be increased or decreased from time to time.
