Common use of Resolutions; Incumbency Clause in Contracts

Resolutions; Incumbency. (i) Copies of partnership authorizations for the Borrower and resolutions of the board of directors of each of the General Partner, Petrolane and the Restricted Subsidiaries authorizing the transactions contemplated hereby to which it is a party, certified as of the Closing Date by the Secretary or an Assistant Secretary of such Person; and

Resolutions; Incumbency. (i) Copies of partnership authorizations for the Borrower and resolutions of the board of directors of each directors, as applicable, of the General PartnerBorrower, Petrolane each Guarantor and each Restricted Subsidiary party to the Restricted Subsidiaries Consent authorizing the transactions contemplated hereby to which it is a party, certified as of the Closing Date date hereof by the Secretary or an Assistant Secretary of such Person; and

(i) Copies of partnership authorizations for the Borrower and resolutions of the board of directors of each of the General Partner, Petrolane and the Restricted Subsidiaries Partner authorizing the transactions contemplated hereby to which it is a partyhereby, certified as of the Closing Restatement Effective Date by the Secretary or an Assistant Secretary of such Personthe General Partner; and

(i) Copies of partnership authorizations for the Borrower Company and resolutions of the board of directors of each of the General Partner, Petrolane and the Restricted Subsidiaries authorizing the transactions contemplated hereby to which it is a party, certified as of the Closing Restatement Effective Date by the Secretary or an Assistant Secretary of such Person; and

(i) Copies of partnership authorizations for the Borrower and resolutions of the board of directors of each of the General Partner, Petrolane and the Restricted Subsidiaries Guarantor authorizing the transactions contemplated hereby to which it is a party, certified as of the Closing Date date hereof by the Secretary or an Assistant Secretary of such Person; and

(i) Copies of partnership authorizations for the Borrower and resolutions of the board of directors of each of the General Partner, Partner and Petrolane and the Restricted Subsidiaries authorizing the transactions contemplated hereby to which it is a party, certified as of the Closing Date by the Secretary or an Assistant Secretary of such Person; and
