Common use of Resolutions; Incumbency Clause in Contracts

Resolutions; Incumbency. (i) Copies of the resolutions of the board of directors of each Borrower approving and authorizing the execution, delivery and performance by such Borrower of this Agreement and the other Loan Documents to be delivered by such Borrower hereunder, and authorizing the borrowing of the Loans and the issuance of the Letters of Credit, certified as of the Effective Date by the secretary or an assistant secretary of such Borrower;

Resolutions; Incumbency. (i) Copies of the resolutions of the board of directors of each Borrower approving and authorizing the execution, delivery and performance by such Borrower of this Agreement and the other Loan Documents to be delivered by such Borrower hereunder, and authorizing the borrowing of the Loans and the issuance of the Letters of Credittransactions contemplated hereby, certified as of the Effective Closing Date by the secretary Secretary or an assistant secretary Assistant Secretary of such Borrower;; and

Resolutions; Incumbency. (i) Copies of the resolutions of the board of directors or similar governing body of each Borrower approving and each Material Subsidiary (other than the Excluded Subsidiary) authorizing the execution, delivery and performance by such Borrower of this Agreement and the other Loan Documents to be delivered by such Borrower hereunder, and authorizing the borrowing of the Loans and the issuance of the Letters of Credittransactions contemplated hereby, certified as of the Effective Closing Date by the secretary Secretary or an assistant secretary Assistant Secretary of such Borrower;Person; and

(i) Copies of the resolutions of the board of directors (or similar governing body) of each such Subsidiary Borrower approving and authorizing the execution, delivery and performance by such Borrower of this Agreement and the other Loan Documents to be delivered by such Borrower hereunder, and authorizing the borrowing of the Loans and the issuance of the Letters of Credittransactions contemplated hereby, certified as of the Effective Date by the secretary Secretary or an assistant secretary Assistant Secretary or similar officer of such Subsidiary Borrower;; and

(i) Copies of the resolutions of the board of directors of each the Borrower approving and authorizing the execution, delivery and performance by such Borrower of this Agreement and the other Loan Documents to be delivered by such Borrower hereunder, and authorizing the borrowing of the Loans and the issuance of the Letters of Credittransactions contemplated hereby, certified as of the Effective Closing Date by the secretary Secretary or an assistant secretary Assistant Secretary of such Borrower;Person; and

(i) Copies of the resolutions of the board of directors of each such Subsidiary Borrower approving and authorizing the execution, delivery and performance by such Borrower of this Agreement and the other Loan Documents to be delivered by such Borrower hereunder, and authorizing the borrowing of the Loans and the issuance of the Letters of Credittransactions contemplated hereby, certified as of the Effective respective Subsequent Closing Date by the secretary Secretary or an assistant secretary Assistant Secretary of such Subsidiary Borrower;; and

Resolutions; Incumbency. (i) Copies of the resolutions of the board of directors of each Borrower approving providing authorization for the execution and authorizing the execution, delivery and performance by such Borrower of this Agreement and the other Loan Documents Notes to be delivered issued by such Borrower hereunder, and authorizing the borrowing consummation of the Loans and the issuance of the Letters of Credittransactions contemplated hereby, certified as of the Effective Date by the secretary Secretary or an assistant secretary Assistant Secretary of such Borrower;; and

Resolutions; Incumbency. (i) Copies of the resolutions of the board of directors (or similar governing body) of each Borrower approving and the Parent and each Subsidiary that may become party to a Credit Document authorizing the execution, delivery and performance by such Borrower of this Agreement and the other Loan Documents to be delivered by such Borrower hereunder, and authorizing the borrowing of the Loans and the issuance of the Letters of Credittransactions contemplated hereby, certified as of the Effective Closing Date by the secretary Secretary or an assistant secretary Assistant Secretary of such Borrower;Person; and

(iA) Copies copies of the resolutions of the board of directors (or equivalent governing body) of each Borrower approving and authorizing the execution, delivery and performance by such Borrower of this Agreement and the other Loan Documents to be delivered by such Borrower hereunder, and authorizing the borrowing of the Loans and the issuance of the Letters of Credittransactions contemplated hereby, certified as of the Effective Date by the secretary or an assistant secretary of such Borrower;; and

Resolutions; Incumbency. (i) Copies of the resolutions of the board of directors of each Borrower approving and authorizing the execution, execution and delivery and performance by such Borrower of this Agreement agreement and the other Loan Documents to be delivered by such Borrower hereunder, and authorizing the borrowing consummation of the Loans and the issuance of the Letters of Credittransactions contemplated hereby, certified as of the Restatement Effective Date by the secretary Secretary or an assistant secretary Assistant Secretary of such each Borrower;, and
