The Executive may terminate the Executive's his employment under this Agreement with Employer at any time without Good Reason at any time during the Employment Term by giving Employer two (2) months’ written notice thereof thereof. Such termination will be effective on the earlier of the last day of the notice period or the last day on which Executive performs services for Employer if Employer elects to terminate Executive’s services prior to the Company at least 30 days before the effective date last day of such termination, which notice may be waived in whole or in part by the Company in its sole discretion. The effect of such termination is provided in Section 5.2.4period.

Resignation without Good Reason. The Executive may terminate the Executive's his employment under this Agreement at any time without Good Reason at any time during the Employment Term by giving upon thirty (30) days’ written notice thereof provided to the Company at least 30 days before the effective date of such terminationin accordance with Section 8 hereof, which notice may be waived in whole or in part by provided, that the Company may, in its sole discretion, waive such notice period without payment in lieu thereof. The effect If Executive so resigns his employment, Executive shall be entitled to receive the Accrued Obligations promptly or, in the case of such termination is provided benefits described in Section 5.2.47(a)(iv) above, as such obligations become due.

Resignation without Good Reason. The Executive may terminate the Executive's resign his employment under this Agreement without Good Reason at any time during the Employment Term by giving upon 90 days written notice thereof to the Company. Except as may otherwise be expressly provided in Section 7.1(a) or in any written agreement between the Company at least 30 days before and Executive with respect to the effective issuance of awards under the Company’s Incentive Award Plan, upon termination of Executive's employment, Executive shall be entitled to receive only the compensation accrued but unpaid for the period of employment prior to the date of such termination, which notice may termination of employment and shall not be waived in whole or in part by the Company in its sole discretion. The effect of such termination is provided in Section 5.2.4entitled to additional compensation.

Resignation without Good Reason. The Executive may terminate the Executive's his employment under this Agreement with Employer at any time without Good Reason at any time during the Employment Term (as defined in Section 17) by giving Employer three (3) months’ written notice thereof to thereof. Such termination will be effective on the Company at least 30 days before earlier of the effective date last day of such termination, the notice period or the last day on which notice may be waived in whole or in part by the Company in its sole discretion. The effect of such termination is provided in Section 5.2.4Executive performs services for Employer.

Resignation without Good Reason. The Executive may terminate this Agreement and the Executive's ’s employment under this Agreement without Good Reason at any time during the Employment Term by giving providing written notice thereof Notice to the Company at least Corporation specifying the effective termination date, such date being not less than 30 days before (the effective date of such termination, which notice may be waived in whole or in part by the Company in its sole discretion“Resignation Notice Period”). The effect Corporation may elect to deem any date prior to the date specified in the Notice as the Termination Date, provided that the Corporation shall pay the Executive the remainder of such termination is provided in Section 5.2.4any Base Salary, payments, Benefits and other entitlements, if any, that the Executive would have received had the Executive continued to work until the end of the Resignation Notice Period.
