Resignation in Certain Capacities. As of the Effective Date, Executive hereby resigns as an employee and officer of the Companies, and in each other capacity in which he serves the Companies. Executive agrees to take any and all further action as shall be reasonably necessary to effect or memorialize the foregoing resignations.
