Common use of Residuals Clause in Contracts

Residuals. Notwithstanding anything herein to the contrary, each Party may use residual information for any purpose, including without limitation use in development, manufacture, promotion, sale and maintenance of its products and services; provided that this right to residual information does not represent a license under any patents or copyrights of the other Party. The term “residual information” means any information that is retained in the unaided memories of a Party’s personnel who have had access to the other Party’s Confidential Information in accordance with this Agreement. An individual’s memory is unaided if the individual has not intentionally memorized the Confidential Information for the purpose of retaining and subsequently using or disclosing it. This Section 11.6 does not imply any exception to, or limitation of, the obligations of the Parties under Section 6.3 of the Separation Agreement.
