Common use of Residual Distributions Clause in Contracts

Residual Distributions. If the Liquidation Preference has been paid in full to all holders of Series A Preferred Stock and the applicable liquidation preference has been paid to all holders of any Parity Stock, the holders of Junior Stock shall be entitled to receive all remaining assets of the Corporation according to their respective rights and preferences.

Residual Distributions. If the Liquidation Preference liquidation preference plus any declared and unpaid dividends has been paid in full to all holders of Series A E Preferred Stock and the applicable liquidation preference has been paid to all holders of any Parity Stock, the holders of Junior Stock shall be entitled to receive all remaining assets of the Corporation according to their respective rights and preferences.
