Common use of Reserve Reports Clause in Contracts

Reserve Reports. (a) On or before April 1st and October 1st of each year, commencing October 1, 2010, the Borrower shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries as of the immediately preceding December 31 and June 30, respectively. The Reserve Report as of December 31 of each year shall be prepared by one or more Approved Petroleum Engineers, and the June 30 Reserve Report of each year shall be prepared by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate and to have been prepared in accordance with the procedures used in the immediately preceding December 31 Reserve Report.

Reserve Reports. (a) On or before April March 1st and October September 1st of each year, commencing October September 1, 20102022, the Borrower shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the proved Oil and Gas Properties of the Borrower and its Restricted Subsidiaries Loan Parties as of the immediately preceding December 31 January 1st and June 30July 1st, respectively. The Reserve Report as of December 31 January 1 of each year shall be prepared by one or more Approved Petroleum Engineers, and the June 30 July 1 Reserve Report of each year shall be prepared by one or more Approved Petroleum Engineers or by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate and in all material respects and, except as otherwise specified therein, to have been prepared in all material respects in accordance with the procedures used in the immediately preceding December 31 January 1 Reserve Report.

Reserve Reports. (a) On or before April March 1st and October September 1st of each year, commencing October March 1, 20102013, the Borrower shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries as of the immediately preceding December 31 31st and June 30, respectively30th. The Reserve Report as of December 31 of each year shall be prepared by one or more Approved Petroleum Engineers, and the June 30 Reserve Report of each year shall be prepared by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate and to have been prepared in accordance with the procedures used in the immediately preceding December 31 Reserve Report.

The Reserve Report as of December 31 31st of each year shall be prepared by one or more Approved Petroleum Engineers, independent petroleum engineers reasonably acceptable to the Agent and the June 30 30th Reserve Report of each year shall be prepared by or under the supervision of the chief engineer “Manager of Acquisitions and Planning” (or similarly titled position) of the Borrower who shall certify such Reserve Report to be true and accurate and to have been prepared in accordance with the procedures used in the immediately preceding December 31 31st Reserve Report.

Reserve Reports. (a) On or before April 1st 1 and October 1st 1 of each year, commencing October April 1, 20102020, the Borrower shall furnish to the Administrative Agent and the Revolving Credit Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries the other Credit Parties as of the immediately preceding December 31 and or June 30, respectively. The Reserve Report as of December 31 of each year shall be prepared or audited by one or more Approved Petroleum Engineers, and the June 30 Reserve Report of each year shall be prepared by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate in all material respects (with appropriate exceptions for projections and cost estimates) and to have been prepared in accordance with the procedures used in the immediately preceding December 31 Reserve Report.

Reserve Reports. (a) On or before April March 1st and October September 1st of each year, commencing October March 1, 20102008, the Borrower shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries as of the immediately preceding December 31 31st and June 30, respectively30th. The Reserve Report as of December 31 of each year shall be prepared by one or more Approved Petroleum Engineers, and the June 30 Reserve Report of each year shall be prepared by or under the supervision of the chief engineer operating officer of the Borrower who shall certify such Reserve Report to be true and accurate and to have been prepared in accordance with the procedures used in the immediately preceding December 31 June 30 Reserve Report.

Reserve Reports. (a) On or before April March 1st and October September 1st of each year, commencing October March 1, 20102006, the Borrower Borrowers shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries as of the immediately preceding December 31 and June 30, respectivelyReport. The Reserve Report as of December 31 (and delivered on or before March 1) of each year shall be prepared by one or more Approved Petroleum Engineers, and the June 30 Reserve Report (delivered on or before September 1) of each year shall be prepared either by or under the supervision of the chief engineer of the Borrower Borrowers who shall certify such Reserve Report to be true and accurate and to have been prepared in accordance with the procedures used in the immediately preceding December 31 January 1 Reserve ReportReport or by one or more Approved Petroleum Engineers.

(a) On or before April March 1st and October September 1st of each year, commencing October March 1, 20102023, the Borrower shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries Credit Parties as of the immediately preceding December 31 January 1st and June 30, respectivelyJuly 1st. The Reserve Report as of December 31 January 1 of each year shall be prepared by one or more Approved Petroleum Engineers, and the June 30 each other Reserve Report of each year required hereunder shall be prepared by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate and to have been prepared in accordance with the procedures used in the immediately preceding December 31 January 1 Reserve Report.

The Reserve Report as of December 31 of each year shall be prepared by one or more Approved Petroleum Engineers, Engineers and the June 30 Reserve Report of each year shall be prepared by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate in all material respects and to have been prepared prepared, except as otherwise specified therein, in accordance with the procedures used in the immediately preceding December 31 Reserve Report.

(a) On or before April March 1st and October September 1st of each year, commencing October March 1, 20102011, the Borrower shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries as of the immediately preceding December 31 January 1st and June 30, respectivelyJuly 1st. The Reserve Report as of December 31 January 1 of each year shall be prepared by one or more Approved Petroleum Engineers, and the June 30 July 1 Reserve Report of each year shall be prepared by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate and to have been prepared in accordance with the procedures used in the immediately preceding December 31 January 1 Reserve Report.

(a) On or before April 1st February 28th and October 1st August 31st of each year, commencing October 1August 31, 2010, 2011 the Borrower shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries as of the immediately preceding December 31 January 1st and June 30, respectivelyJuly 1st. The Reserve Report as of December 31 January 1st of each year shall be prepared by one or more Approved Petroleum Engineers, and the June 30 July 1st Reserve Report of each year shall be prepared by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate based on the best information reasonably available to the Borrower and to have been prepared in accordance with the procedures used in the immediately preceding December 31 January 1st Reserve Report.

Reserve Reports. (a) On or before April 1st and October 1st of each year, commencing October 1, 2010, the Borrower shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries as of the immediately preceding December 31 31st and June 3030th, respectivelyas applicable. The Reserve Report as of December 31 31st of each year shall be prepared by one or more Approved Petroleum Engineers, and the June 30 30th Reserve Report of each year shall be prepared by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate in all material respects and to have been prepared in accordance with the procedures used in the immediately preceding December 31 31st Reserve Report.

(a) On Commencing on November 1, 2008 and on or before each April 1st 1 and October 1st 1 of each year, commencing October 1, 2010year thereafter, the Borrower shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries as of the immediately preceding December 31 January 1st and June 30, respectivelyJuly 1st. The Reserve Report as of December 31 January 1 of each year shall be prepared by one or more Approved Petroleum Engineers, and the June 30 July 1 Reserve Report of each year shall be prepared by or under the supervision of the chief reserve engineer of the Borrower who shall certify such Reserve Report to be true and accurate and to have been prepared in accordance with the procedures used in the immediately preceding December 31 January 1 Reserve Report.

The Reserve Report as of December 31 January 1st of each year shall be prepared by one or more Approved Petroleum Engineers, and the June 30 July 1st Reserve Report of each year shall be prepared by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate to the best of his or her knowledge in all material respects and to have been prepared in accordance with the procedures used in the immediately preceding December 31 January 1st Reserve Report.

(a) On or before April March 1st and October September 1st of each year, commencing October September 1, 20102014, the Borrower shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries as of the immediately preceding December 31 and or June 30, respectivelyas applicable. The Reserve Report as of December 31 of each year shall be prepared by one or more Approved Petroleum Engineers, independent petroleum engineers reasonably acceptable to the Administrative Agent and the June 30 Reserve Report of each year shall be prepared by or under the supervision of the chief engineer “Manager of Acquisitions and Planning” (or similarly titled position) of the Borrower who shall certify such Reserve Report to be true and accurate and to have been prepared in accordance with the procedures used in the immediately preceding December 31 Reserve Report.

(a) On or before April March 1st and October September 1st of each year, commencing October 1September 1st, 20102005, the Borrower shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries as of the immediately preceding December 31 and June 30January 1 or July 1, respectivelyas applicable. The Reserve Report as of December 31 January 1 of each year shall be prepared by one or more Approved Petroleum Engineers, petroleum engineers reasonably acceptable to the Administrative Agent and the June 30 July 1 Reserve Report of each year shall be prepared by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate and to have been prepared in accordance with the procedures used in the immediately preceding December 31 January 1 Reserve Report.

(a) On or before April 1st and October 1st of each year, commencing year beginning October 1, 20102022, the Borrower shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Borrowing Base Properties of the Borrower and its Restricted Subsidiaries as of the immediately preceding December 31st (the “December 31 Reserve Report”) and June 3030th (the “June 30 Reserve Report”), respectivelyas applicable. The Reserve Report as of December 31 31st of each year shall be prepared by one or more Approved Petroleum Engineers, and the June 30 30th Reserve Report of each year shall be prepared by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate in all material respects and to have been prepared in accordance with the procedures used in the immediately preceding December 31 31st Reserve Report.

(a) On or before April March 1st and October September 1st of each year, commencing October September 1, 2010, the Borrower shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries as of the immediately preceding December 31 31st and June 30, respectively30th. (a) On or before April March 1st and October September 1st of each year, commencing October 1, 2010, the Borrower shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries as of the immediately preceding December 31 and or June 30, respectivelyas applicable. The Reserve Report as of December 31 of each year shall be have the majority of PV-10 value prepared or audited by one or more Approved Petroleum Engineers, and the Reserve Report as of June 30 Reserve Report of each year shall be prepared by or under the supervision of the chief engineer Vice President, Engineering and Evaluation of the Borrower who shall certify such Reserve Report to be true and accurate and to have been prepared in accordance with the procedures used in the immediately preceding December 31 Reserve Report.

(a) On or before April March 1st and October September 1st of each year, commencing October on September 1, 20102018, the Borrower shall furnish to the First Lien Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties Proved Reserves of the Borrower and its the Restricted Subsidiaries as of the immediately preceding December 31 January 1st and June 30, respectivelyJuly 1st. The Reserve Report as of December 31 January 1 of each year shall be prepared by one or more Approved Petroleum Reserve Engineers, and the June 30 July 1 Reserve Report of each year shall be prepared by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate and to have been prepared in accordance with the procedures used in the immediately preceding December 31 January 1 Reserve Report.

The Reserve Report as of December 31 of each year shall be prepared or audited by one or more Approved Petroleum Engineers, and the June 30 other Reserve Report Reports of each year shall be prepared by or under the supervision of the chief engineer of the Borrower Company who shall certify such Reserve Report to be true and accurate in all material respects and to have been prepared in accordance with the procedures used in the immediately preceding December 31 Reserve Report.

The Reserve Report as of December 31 January 1 of each year shall be prepared by one or more Approved Petroleum Engineers, and the June 30 July 1 Reserve Report of each year shall be prepared by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate and to have been prepared in accordance with the procedures used in the immediately preceding December 31 January 1 Reserve Report.

Reserve Reports. (a) On or before April 1st 1 and October 1st 1 of each year, commencing October April 1, 20102023, the Borrower shall furnish to the Administrative Agent and the Revolving Credit Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries the other Credit Parties as of the immediately preceding December 31 and or June 30, respectively. The Reserve Report as of December 31 of each year shall be prepared or audited by one or more Approved Petroleum Engineers, and the June 30 Reserve Report of each year shall be prepared by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate in all material respects (with appropriate exceptions for projections and cost estimates) and to have been prepared in accordance with the procedures used in the immediately preceding December 31 Reserve Report.

Reserve Reports. (a) On or before April 1st and October 1st of each year, commencing October April 1, 20102019, the Borrower shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries as of the immediately preceding December 31 31st and June 3030th, respectivelyas applicable. The Reserve Report as of December 31 of each year shall be have the majority of PV-10 value prepared or audited by one or more Approved Petroleum Engineers, and the Reserve Report as of June 30 Reserve Report of each year shall be prepared by or under the supervision of the chief engineer most senior executive of the Borrower who is responsible for engineering and evaluation, and who shall certify such Reserve Report to be true and accurate and to have been prepared in accordance with the procedures used in the immediately preceding December 31 Reserve Report.

Reserve Reports. (a) On or before April 1st 1 and October 1st 1 of each year, commencing October April 1, 20102020, the Borrower shall furnish to the Administrative Agent and the Revolving Credit Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries the other Credit Parties as of the immediately preceding December 31 and or June 30, respectively. (a) On or before April 1st 1 and October 1st 1 of each year, commencing October April 1, 20102016, the Borrower shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries Credit Parties as of the immediately preceding December 31 and June 30, respectivelyJuly 1. (a) On or before April 1st and October 1st of each year, commencing October April 1, 20102018, the Borrower shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries as of the immediately preceding December 31 31st and June 3030th, respectivelyas applicable. The Reserve Report as of December 31 31st of each year shall be prepared by one or more Approved Petroleum Engineers, and the June 30 30th Reserve Report of each year shall be prepared by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate in all material respects and to have been prepared in accordance with the procedures used in the immediately preceding December 31 31st Reserve Report.

Reserve Reports. (a) On or before April March 1st and October September 1st of each year, commencing October 1September 1st, 20102007, the Borrower shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries as of the immediately preceding December 31 31st and June 30, respectively30th. The Reserve Report as of December 31 of each year shall be prepared by one or more Approved Petroleum Engineers, and the June 30 Reserve Report of each year shall be prepared by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate and to have been prepared in accordance with the procedures used in the immediately preceding December 31 Reserve Report.

Reserve Reports. (ai) On or before April 1st 1 and October 1st 1 of each year, year commencing October 1, 20102011, the Borrower shall furnish to the Administrative Agent and the Revolving Lenders a Reserve Report evaluating dated January 1 of that year for the oil Reserve Report due April 1 and gas reserves attributable to dated July 1 of that year for the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries as of the immediately preceding December 31 and June 30, respectivelyReserve Report due October 1. The Reserve Report as of December 31 of due each year April 1 shall be prepared or audited by one certified independent petroleum engineers or more Approved Petroleum Engineers, and other independent petroleum consultant(s) acceptable to the June 30 Agent. The Reserve Report of due each year October 1 shall be prepared by or made under the supervision of the chief engineer appropriate officer of the Borrower who shall certify such Reserve Report to be true and accurate and to have been be prepared in accordance with the procedures used in standards of the immediately preceding December 31 Reserve ReportSociety of Petroleum Engineers.

(a) On or before April March 1st and October September 1st of each year, commencing October September 1, 20102015, the Borrower shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries as of the immediately preceding December 31 January 1st and June 30July 1st, respectively. The Reserve Report as of December 31 January 1 of each year shall be prepared by one or more Approved Petroleum Engineers, and the June 30 July 1 Reserve Report of each year shall be prepared by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate and to have been prepared in accordance with the procedures used in the immediately preceding December 31 Reserve ReportReport prepared by an Approved Petroleum Engineer.

Reserve Reports. (af) On or before April 1st March 1 and October 1st September 1 of each year, commencing October March 1, 20102014, the Borrower shall furnish to the Administrative Agent and the Lenders a Reserve Report evaluating the oil and gas reserves attributable to the Oil and Gas Properties Interests of the Borrower and its Restricted Subsidiaries the other Credit Parties as of the immediately preceding December 31 of such year and June 30, respectively30 of such year. The Reserve Report as of December 31 of each year shall be prepared by one or more Approved Petroleum Engineers, and the . The Reserve Report as of June 30 Reserve Report of each year shall be prepared either by Approved Petroleum Engineers or under the supervision of the chief engineer of the Borrower who by EXCO’s internal reserve engineering staff, which shall certify such Reserve Report to be true and accurate and to have been prepared in accordance with the procedures used in the immediately preceding December 31 Reserve Report.
