Reseller Orders. Customer may procure the Service directly from a reseller pursuant to a separate agreement that includes the Reseller Order Form and other commercial terms (a “Reseller Arrangement”). Provider will be under no obligation to provide the Service to Customer under a Reseller Arrangement if it has not received a Reseller Order Form for Customer. A reseller is not authorized to make any changes to this Agreement or otherwise authorized to make any warranties, representations, promises or commitments on behalf of Provider or in any way concerning the Service. If Customer procured the Service through a Reseller Arrangement, then Customer agrees that Provider may share certain Service Data with reseller related to Customer consumption of the Service. “
Reseller Orders. This paragraph applies if you order any Service Offering from an authorized reseller pursuant to an agreement between you and the authorized reseller (a "Reseller Agreement"). With respect to all Reseller Agreements: (i) all references to Order in this Agreement shall mean the applicable Reseller Agreement; (ii) fees, payment, taxes, term and termination for convenience will be handled pursuant to the Reseller Agreement and paid directly to the authorized reseller, as applicable; (iii) all credits or refunds owed by us shall be provided to the authorized reseller and not to you; and (iv) we shall have no responsibility or liability with respect to any failure by the authorized reseller to make payments to you. Notwithstanding anything to the contrary, unless we provide signed written authorization to you, no additional terms in any Reseller Agreement shall apply to us and this Agreement shall prevail in the event of any conflict between this Agreement and any Reseller Agreement. Reseller Orders. This Section applies to any access to the Products purchased by Customer through a Reseller.
Reseller Orders. Customer shall order and purchase the Subscription Service and Professional Services directly from Reseller pursuant to a separate agreement specifying price, payment and other commercial terms. ServiceNow is not a party to such separate agreement but will provide the purchased services pursuant to this Agreement. For each order, Reseller or ServiceNow will provide Customer with a Use Authorization for Customer to sign and return to ServiceNow. ServiceNow will have no obligation to provide services unless and until it has received a Use Authorization signed by Customer. Reseller is not authorized to make any changes to this Agreement (including any Use Authorizations issued hereunder) or bind ServiceNow to any additional or different terms or conditions. Additional orders for ServiceNow products or services may be placed either through Reseller or ServiceNow, provided that if Customer places an order directly through ServiceNow, Customer shall sign an addendum to this Agreement setting forth pricing, payment and other commercial terms between Customer and ServiceNow.

For any Orders placed through a Reseller, Customer acknowledges and agrees that (i) Lacework may share information with such Reseller related to Customer’s use and consumption of the Service for account management and billing purposes; and (ii) Reseller is not authorized to make any changes to this Agreement or to make any commitments of any kind on behalf of Lacework.

Subscriber may procure use of any Service from an authorized reseller of Neo4j (“Reseller”) pursuant to an Order Form that references this Agreement and any other commercial terms (a “Reseller Arrangement”). Subscriber’s use of any Service procured through a Reseller will be subject to the terms of this Agreement and all fees payable for such use shall be payable pursuant to the terms set forth in the Order Form. Neo4j will be under no obligation to provide the Service to Subscriber under a Reseller Arrangement if it has not received an Order Form for Subscriber. Reseller is not authorized to make any changes to this Agreement or to make any warranties, representations, promises or commitments on behalf of Neo4j or in any way concerning the Service or Professional Services. If Subscriber procured the Service through a Reseller Arrangement, then Subscriber agrees that Neo4j may share certain Service Data with Reseller related to Subscriber consumption of the Service.

If Subscriber has procured the Service or Professional Services through a Reseller, then different terms regarding invoicing, payment and taxes may apply as specified between Subscriber and its Reseller. Subscriber acknowledges that: (a) Neo4j may share information with the Reseller related to Subscriber’s use and consumption of the Service or Professional Services for account management and billing purposes and (b) the termination provisions below will also apply if Subscriber’s Reseller fails to pay applicable fees.

Reseller Orders. This Agreement applies whether you purchase our Products directly from eMite or through another organization authorized by eMite to re-sell the Software (“Reseller”). If you purchase through a Reseller, your Scope of Use shall be as stated in the Order placed by Reseller for you, and Reseller is responsible for the accuracy of any such Order. Resellers are not authorized to make any promises or commitments on eMite’s behalf, and we are not bound by any obligations to you other than what we specify in this Agreement.
