Research Use Only. Customer’s Goods Licenses and Software License, if applicable, shall be granted solely for Customer’s Research Use. “Research Use” means use for internal research (which includes research services provided to third parties (“Third Party Research Services”), provided such services are not Commercial) and specifically excludes any act by Customer, or if permitted by Customer and the terms of this Agreement, a third party to: (a) use the Goods or Software other than in accordance with this Agreement, the Specifications, Oxford’s instructions or the Documentation; (b) use the Goods or Software in a manner that requires grants of rights or a license to Application Specific IP; (c) use Consumables, where such use is a re-use of a previously used Consumable; (d) use the Goods or Software for clinical, diagnostic or therapeutic procedures where validation or registration of the Goods, Software, or protocols using the Goods or Software with regulatory authorities is required or use the Goods for any Commercial or other non-research purpose; (e) use the Hardware in conjunction with reagents or consumables not sold by Oxford or not Approved; (f) use the Consumables in conjunction with non-Oxford hardware, flow cells or devices; (g) modify or create any derivative works of the Goods (except to the extent applicable laws specifically prohibit such restriction); (h) copy the Goods or Software except as approved in writing by Oxford (except to the extent applicable laws specifically prohibit such restriction); (i) separate the Goods into their component parts; (j) reverse engineer, decompile, disassemble or otherwise attempt to derive the composition of the Goods or Software (except to the extent applicable laws specifically prohibit such restriction); (k) extract or isolate components of the Goods or subject them to non-authorized analysis; (l) gain access to or determine the methods of operation of the Goods or Software; (m) redistribute, encumber, sell, rent, lease, sublicense or otherwise transfer rights to Goods or Software; or (n) remove or alter any trademark, logo, copyright or other proprietary notices, legends, symbols or labels in or on the Goods or Software or components thereof.

Research Use Only. Customer acknowledges that the Services are provided for research use only and are not being performed in a clinical laboratory. The Services are not an article or accessory intended to be used specifically for the medical purpose of: diagnosis, treatment, prevention, monitoring or alleviation of a disease, injury or disability; compensation for an injury or disability; investigation, replacement or modification of the anatomy or or a physiological process or state; or control or support of contraception;, and the Results are not intended to be medical advice. The Services have not been subjected to any conformity assessment or other regulatory review or certified, approved or cleared by any conformity assessment body or other regulatory body in any country for diagnostic use or any other purpose.
Research Use Only. User acknowledges and agrees that the Software is licensed by SoftGenetics for research use only. Any violation of this restriction on use shall constitute a breach of this Agreement. User assumes all risk for use of the Software. User further acknowledges that User is responsible for validating the Software for use in User’s intended applications. Due to the nature of computers, software, operating systems and installation procedures, SoftGenetics cannot accept any liability or responsibility for validation of the Software in any of User’s applications.
Research Use Only. The Software is labeled with a For Research Use Only or similar labeling statement and the performance characteristics of the Software have not been established and the Software is not for use in diagnostic procedures. Licensee acknowledges and agrees that (i) the Software has not been approved, cleared, or licensed by the United States Food and Drug Administration or any other regulatory entity whether foreign or domestic for any specific intended use, whether research, commercial, diagnostic, or otherwise, and (ii) Licensee must ensure it has any regulatory approvals that are necessary for Licensee’s intended uses of the Software. Licensee will comply with all applicable laws and regulations when using and maintaining the Software.

Research Use Only. You acknowledge that the Goods do not have United States Food and Drug Administration (“FDA”) or equivalent non-U.S. regulatory agency approval (“Approval”). Accordingly, You acknowledge that the Goods are labeled and intended FOR RESEARCH USE ONLY and NOT FOR USE IN DIAGNOSTIC, THERAPEUTIC, OR CLINICAL PROCEDURES and agree that You shall only use the Goods for Your Research Use. You acknowledge that You have not obtained the Goods for personal, family, domestic, household or other similar use that would trigger the applicability of the consumer protection laws of the jurisdiction in which You are located. The Goods should be used in strict accordance with the Documentation and applicable instructions, warnings and other information in user manuals accompanying such Goods or on their packaging or on the Oxford Website. Unless otherwise expressly stated by Oxford Nanopore in writing, no claim or representation is made or intended by Oxford Nanopore (i) as to any diagnostic, therapeutic, or other clinical use of the Goods; (ii) that any of the Goods has any Approval for use in any diagnostic, therapeutic, or other clinical procedure, or for any other use requiring compliance with any law, regulation or governmental policy concerning medical devices, laboratory tests or the like (collectively, “Regulatory Laws”); (iii) that any of the Goods will satisfy the requirements of the FDA or any other regulatory agency; or (iv) that any of the Goods or their performance is suitable or has been validated for clinical, therapeutic, or diagnostic use, for safety and effectiveness, for any specific use or application, or for importation into Your jurisdiction. You agree that if You elect to use the Goods for a purpose that would subject You or any of the Goods to the application of Regulatory Laws or any other law, regulation or governmental policy, You shall be solely responsible for obtaining any required Approvals and otherwise ensuring that the importation of the Goods into Your jurisdiction and Your use of the Goods complies with all such laws, regulations and policies. The burden of proof for safe use and handling of the Goods is entirely Your responsibility.
Research Use Only. Materials shall be used for Research purposes only (the “Research”). As used herein, the definition of Research excludes uses of the Materials to (i) perform contract research, (ii) produce or manufacture products for general sale, or (iii) conduct research activities that result in any sale, lease, license, or transfer of the Material or derivatives thereof. The Services are not a test or kit designed to diagnose, treat, or prevent a disease or medical condition, and the Results are not intended to be medical advice. The Services have not been cleared by any country’s medical regulatory agency, including the United States Food and Drug Administration, for diagnostic use or any other purpose.
