Common use of Research Agreement Clause in Contracts

Research Agreement. With respect to the Research Agreement, (i) the Company shall have received written confirmation from the counterparty to such Research Agreement that such agreement remains in full force and effect and that the Company and/or the applicable Company Subsidiary party thereto is not in breach or violation of the Research Agreement and (ii) the Company shall not have received any notice in writing from the counterparty to the Research Agreement that such counterparty intends to terminate, or not renew, such agreement.
