Research Agreement. This Agreement supersedes the Research Agreement with respect to any subject matter addressed herein or any inconsistency.
Research Agreement. 1. An order shall be processed by Ipsos BV if and as soon as the research agreement signed by the client and the accompanying documents have been received.

The agreement may take the form of a Limited Data Set Agreement or a Data Use Agreement. No ICC employee shall participate in and no ICC data shall be released for a research project until authorized representatives of the ICC and the institution and/or researcher have signed an agreement. Each agreement shall include a provision that permits the ICC Executive Director or the Board to suspend or terminate the ICC's participation in any Project based upon concerns regarding the manner in which the project is being conducted. At all times, the protection of PHI in compliance with HIPAA, HITECH and all other federal and state privacy and security laws and regulations shall remain the priority of the ICC.
Research Agreement. In areas where ICAgen has demonstrated that it has proprietary technology, Lilly and ICAgen will negotiate in good faith (during the two (2) year period commencing on the first anniversary of the date of this Agreement or such longer period as may be determined by the Joint Committee) to reach agreement on a mutually acceptable research and development collaboration in a narrowly defined area. The parties agree that either party or the Joint Committee may initiate negotiations, if appropriate, as provided for in this Section. The failure of the parties to agree upon a mutually acceptable research agreement shall not be subject to binding arbitration pursuant to Section 12.14. Article XI
