Resale Certificates. All Resale Certificates required under Section 8.17.
Resale Certificates. Purchaser shall use commercially reasonable efforts to deliver to Sellers at the Closing resale certificates with respect to the Inventory, in form and substance mutually acceptable to Purchaser and Sellers, but in no event shall the failure to deliver such resale certificates delay the Closing or the delivery of such resale certificates be deemed a condition to the Closing.
Resale Certificates. All Resale Certificates required under Section 8.17. (o)Bulk Sales. All clearance certificates and indemnities required under Section 8.16.
Resale Certificates. If Your state allows You to present a resale certificate or similar paperwork that would allow THE COMPANY to not charge Your Practice with state or local sales taxes on the wholesale sale from THE COMPANY to Your Practice, when such wholesale sales are made for the purpose of Your resale to Customers, then THE COMPANY will accept such paperwork, provided it has been fully and accurately completed, and in such circumstances THE COMPANY will not charge Your Practice for those taxes. This will not, however, have any effect on any obligation Your Practice may have, if applicable in Your state and municipality, to collect and remit sales taxes from Customers, as set forth in Section 3.B above.
Resale Certificates. Buyer will provide Seller with such resale certificates or other documents as may be required or contemplated by the laws of California or any other applicable jurisdiction in order to avoid imposition of sales or use tax with respect to Purchased Assets intended to be resold.
Resale Certificates. Within 45 days after the Closing Date, where applicable, Newco shall remit to Lockheed Xxxxxx such properly completed resale exemption certificates or similar certificates or instruments as are necessary to claim exemptions from the payment of sales, transfer, use or other similar taxes under Applicable Law. EXHIBIT G TO TRANSACTION AGREEMENT EMPLOYMENT AND EMPLOYEE BENEFIT MATTERS
Resale Certificates. Sellers shall use reasonable best efforts to cause the Company to (i) deliver to Buyer, no later than 10 days prior to the Closing Date, all sales tax resale certificates from the Persons set forth on Schedule 8.10 that the Company is required to collect and retain under applicable Tax Law, in each case, substantiating an exemption from sales Tax on sales made by the Company to such Persons, for Buyer’s review and reasonable comment, and (ii) cause such resale certificates to be revised to incorporate any reasonable comments provided Buyer prior to the Closing.
Resale Certificates. The Purchaser is properly licensed for transaction privilege tax purposes with an office at the location of the Business and the Purchaser represents that it is purchasing the Inventories for resale in the ordinary course of its business. On or before Closing, the Purchaser shall provide to WEDC and the Seller a properly completed resale certificate covering the Inventories.
Resale Certificates. Bekaert will make available to the MSC Parties ------------------- resale certificates received by Bekaert in connection with Bekaert obtaining sales tax exemption for the transactions contemplated by this Agreement.
Resale Certificates. Resale certificates executed by Purchaser, with respect to sale for resale exemption applicable to the Inventory being transferred to Purchaser pursuant to the terms of this Agreement. If the Purchaser does not deliver such certificates to Sellers and Parent at the Closing, the Purchaser hereby agrees to deliver such certificates to Parent promptly upon request of Parent.
