Common use of Required Disclosures Clause in Contracts

Required Disclosures. Notwithstanding the foregoing, the Receiving Party may disclose the Disclosing Party’s Confidential Information to the limited extent required in order to comply with the order of a court or other governmental body, or as otherwise necessary to comply with applicable Law, provided that the Receiving Party shall first have given written notice (to the extent legally permitted) to the Disclosing Party and made a reasonable effort to obtain a protective order.

Required Disclosures. Notwithstanding the foregoing, the Receiving Party A party may disclose the Disclosing Partydisclosing party’s Confidential Information to the limited extent required in order to comply with the order of a court or other governmental bodybody pursuant to a valid court order, law, subpoena or as otherwise necessary to comply with applicable Lawregulation, provided that the Receiving Party shall first have given written notice receiving party: (a) promptly notifies the disclosing party of such requirement as far in advance as possible to the extent legally permittedadvanced notice is lawful; and (b) provides reasonable assistance to the Disclosing Party and made a reasonable effort disclosing party in any lawful efforts by the disclosing party to obtain a protective orderresist or limit the disclosure of such Confidential Information.

Notwithstanding the foregoing, the Receiving Party may disclose the Disclosing Party’s 's Confidential Information to the limited extent required in order to comply with the order of a court or other governmental body, or as otherwise necessary to comply with applicable Law, provided that the Receiving Party shall first have given written notice (is required by any applicable governmental authority to do so; provided, however, that in such event, to the extent legally permitted) to permitted by applicable law, the Receiving Party shall notify the Disclosing Party and made a reasonable effort shall cooperate with the Disclosing Party in any attempt to obtain a protective ordercontest or limit such required disclosure, at the Disclosing Party’s sole expense.
