REQUEST FOR SUBSTANTIVE CONSOLIDATION. The Plan will be considered in connection with a motion by The Debtors to substantively consolidate the Chapter 11 Cases (the "Substantive Consolidation Motion"). The Court's approval of the Substantive Consolidation Motion is a condition precedent to the confirmation of the Plan. In addition, the Confirmation Order must contain findings supporting, and conclusions providing for, substantive consolidation of the Debtors' Estates for purposes of distributions on the terms set forth in this ARTICLE 2 of the Plan.
