Common use of Request for Extension Clause in Contracts

Request for Extension. The Borrower may by written notice to the Administrative Agent (who shall promptly notify the Lenders) given not more than sixty (60) days and not less than forty-five (45) days prior to any anniversary of the Closing Date, request that each Lender extend the Facility Termination Date for an additional one (1) year from the then existing Facility Termination Date; provided, that the Borrower shall only be permitted to exercise this extension option two (2) times during the term of the Agreement.

The Borrower may (unless it has exercised the Term Loan Conversion Option), by written notice to the Administrative Agent (who shall promptly notify the Lenders) given not more earlier than sixty (60) 60 days and not less later than forty-five (45) 35 days prior to any anniversary of the Closing Scheduled Termination Date, request that each Lender extend the Facility such Lender’s Scheduled Termination Date then in effect for an additional one (1) year from 364 calendar days following the then existing Facility Scheduled Termination Date; provided, that the Borrower shall only be permitted to exercise this extension option two (2) times during the term of the Agreement.
