Representative’s Expenses. Any expenses incurred by any representative of any Project Participant or group of Project Participants serving on the Project Committee or any other committee in connection with their duties on such committee shall be the responsibility of the Project Participant which they represent and shall not be an expense payable under this Agreement.
Representative’s Expenses. Any expenses incurred by any representative of any SCPPA Participating Member or group of SCPPA Participating Members serving on the Coordinating Committee or any other committee in connection with his/her duties on such committee shall be the responsibility of the SCPPA Participating Member which he/she represents and shall not be an expense payable under this Agreement.
Representative’s Expenses. The Representative acknowledges that all costs and expenses incurred in connection with any activities hereunder including, but not limited to, motor vehicle and travelling expenses, insurance and incidental expenses that may be incurred in conducting their business are the sole responsibility of the Representative. The Representative must not make claims to Silk for payment of any expenses.
Representative’s Expenses. In addition to the expenses payable pursuant to Section 4.9.1, the Company shall pay 120243.3 -21- to the Representative a non-accountable expense allowance in an amount not to exceed $210,000 on the Closing Date by certified or bank cashier's check or, at the election of the Representative, by deduction from the proceeds of the offering contemplated hereby. If the offering contemplated by this Agreement is not consummated for any reason, the Company shall be liable for the accountable expenses of the Representatives, including, but not limited to, legal fees, Blue Sky counsel fees, and "road show" and due diligence expenses, to a maximum of $200,000, less any payments previously made therefor.
Representative’s Expenses. Parent shall pay all invoices -------------------------------------- submitted by the Stockholders Representative with respect to all reasonable out- of-pocket expenses incurred by Stockholders Representative in the performance of his duties hereunder, including fees and expenses of counsel, or if Stockholders Representative has paid such expenses, then to reimburse Stockholders Representative within 30 days of the submission of a written request for reimbursement.
Representative’s Expenses. Representative’s Expenses. All expenses for travelling, entertainment, office, clerical, office and equipment maintenance and general selling expenses including sub-agent commissions that may be incurred by Sales Representatives in connection with this Agreement shall be borne wholly by the Sales Representatives. In no case shall Endako be responsible for such expenses.
Representative’s Expenses. Any expenses incurred by any representative or alternate representative of any Participant or group of Participants serving on the Participant Committee, any subcommittee thereof or any other Project committee or subcommittee in connection with his/her duties on such committee or subcommittee shall be paid by the Participant or Participants which he/she represents and shall not be payable under this Agreement unless the Participant Committee has taken appropriate action to authorize payment for such expenses to a representative or alternative representative for the performance of a Project related activity.
Representative’s Expenses. Unless otherwise specifically set forth in this Agreement, the representative shall be solely responsible for expenses that may be incurred by Representative and shall not be reimbursed by Alpine French School for any of such expenses whatsoever.
Representative’s Expenses. Except as hereinafter specified, Representative shall be responsible for all expenses incurred by it in connection with the implementation and performance of its duties and obligations hereunder.
