The Client represents, warrants and covenants that the Custodian shall be entitled to deal with all Securities free of any proprietary or equitable interest of any person or entity (other than interests of the Client and interests of the Custodian, Subcustodians and Securities Depositories that are created by this Agreement). The Client agrees to inform the Custodian immediately if any statement set forth in this Section 2 or in Appendix B ceases to be true and correct as of any date after the date hereof.
