Lessee represents, warrants and covenants that: (a) Perma-Fix Environmental Services, Inc. is a corporation duly organized and validly existing in good standing under the laws of the state of Delaware, American Resource Recovery Corporation is a corporation duly organized and validly existing in good standing under the laws of the state of Tennessee, Integrated Resource Recovery, Inc. is a corporation duly organized and validly existing, in good standing under the laws the state of Florida, Cxxxx Processing, Inc. is a corporation duly organized and validly existing in good standing under the laws of the state of Ohio, is duly qualified to do business in all jurisdictions where failure to be so qualified would have a material adverse effect on the financial condition, business or operations of Lessee, or impair the enforcement of its obligations under the Lease Documents. (b) The execution, delivery and performance of the Lease Documents and compliance with the terms thereof: (i) have been duly authorized by all necessary corporate action on the part of Lessee; (ii) do not require the approval of any stockholder, trustee or ,holder of any obligations of Lessee except such as have been duly obtained; and (iii) do not and will not contravene any Law, now binding on Lessee, or the charter or by- laws of Lessee, or contravene the provisions of, or constitute a default under, or result in the creation of any Lien upon the property of Lessees under any indenture, mortgage, contract or other agreement to which Lessee is a party or by which it or its property is bound. (c) The Lease Documents, when entered into, will constitute legal, valid and binding obligations of Lessee, enforceable against Lessee in accordance with the terms thereof. (d) There are no pending actions or proceedings to which Lessee is a party, and there are no other pending or threatened actions or proceedings of which Lessee has knowledge, before any Government Authority, which, either individually or in the aggregate, would materially adversely affect the financial condition of Lessee, or the ability of Lessee to perform obligations under, or comply with the terms of, the Lease Documents. (e) Lessee is not in default under any obligation for the payment of borrowed money, for the deferred purchase price of property or for the payment of any rent under any lease agreement which, either individually or in the aggregate, would have the same such effect. Representations Warranties and Covenants of Lessee. Lessee and Lessor represent, warrant and covenant that to each other that it is now in a solvent condition; that no bankruptcy or insolvency proceedings are pending or contemplated by or against it; that all reports, statements and other data furnished to the other in connection with this Lease are true and correct in all material respects; that the execution and delivery of this Lease by Lessee does not contravene, result in a breach of, or constitute a default under any contract or agreement to which the party is a part or by which it may be bound and does not violate or contravene any law, order, decree, rule or regulation to which it is subject; and that there are no judicial or administrative actions, suits, or proceedings pending or threatened against or affecting it.
Representations Warranties and Covenants of Lessee. In order to induce Lessor to enter into this Agreement, Lessee hereby represents and warrants to Lessor that as of the Amendment Effective Date (a) the execution and delivery of this Agreement has been duly authorized, and all conditions and requirements have been satisfied and performed that are necessary to make this Agreement a valid and binding agreement, and to effect the renewal and amendment of each Lease as provided herein; (b) no default exists under any Lease Documents, (c) all of the representations and warranties of the Lessee in the Lease Documents to which it is a party are true and correct on the Amendment Effective Date as if the same were made on the date hereof and Lessee is in compliance with all of its affirmative and negative covenants provided in the Lease Documents to which it is a party, and (d) all of the warranties, representations, covenants and agreements of Lessee, and all the rights, immunities, powers and remedies of Lessor, that are set forth in the Lease Documents are incorporated herein and shall apply with the same force and effect as though set forth at length in this Agreement.
