Representations True at Closing. Purchaser shall have performed and complied in all material respects with all obligations and agreements required to be performed or complied with by them under this Agreement at or prior to the Closing and the representations and warranties of Purchaser contained in this Agreement shall be true and correct when made and at and as of the Closing as if made at and as of such date and time; and Seller shall have received a certificate, dated the Closing Date, of the President or Vice President of Purchaser, to the effect set forth in this Section 10.1.
