the Vendor has (or will have) any security interest or other claim in the Collateral ranking prior to the interests of Tarion created by virtue of this Agreement, and the Vendor covenants to obtain and deliver to Tarion, upon Tarion\u2019s request, all such acknowledgements or postponements, in form and substance satisfactory to Tarion, from any or all creditors of the Vendor evidencing that any The Vendor also agrees that it shall comply with the \u2018Technical Specification Document\u2019 and \u2018Functional Specification Document\u2019 at all times during the Contract Period.\n8.1.5 The Solution and the Documentation and/or use of the same by the Company in any manner does not and shall not violate or infringe the rights of any third party or the laws or regulations of any governmental or judicial authority.\n8.1.6 The Vendor further agrees and recognizes, that:\n(a) The Company shall control the authorization and access to Company\u2019s information including its customers\u2019 and distributors/dealers\u2019 information, including access rights granted to the Vendor\u2019s employees;\n(b) The Company shall have the right to conduct security reviews and other audit procedures to review controls and test compliance;\n(c) The Vendor shall adhere and implement the information system and security policy adopted by the Company from time to time. The Vendor shall implement the said information system and security policy at no additional cost;\n(d) The Vendor shall comply with procedures to deal with deficiencies noted by auditors, government regulators and other internal or external agencies and provides relevant solutions, within the timeframes notified by the Company at no additional cost to the Company;\n(e) The rights in and to the Company\u2019s data / information including its customers\u2019 and distributors/dealers\u2019 information residing on the server at the Vendor\u2019s premises, shall at all times solely vest with the Company.\n8.1.7 The Vendor represents that the Documentation shall contain a complete and accurate description of the Solution and other materials and services (as applicable), shall be prepared and maintained in accordance with the Industry Best Practices.\n8.1.8 The Vendor represents and undertakes to obtain and maintain validity throughout the Contract Period, of all Applicable Permits and Clearances for performance of the obligations of the Vendor under the Contract. The Vendor further agrees and undertakes to inform and assist the Company for procuring any Applicable Permits and Clearances, which may at any time during the Contract Period be statutorily required to be obtained by the Company for availing Services from the Vendor in accordance with the terms of the Contract.\n8.1.9 The Vendor shall not hold the Company responsible for any judgments made by the Vendor for arriving at any type of sizing or costing for this entire Project. The Company at all times shall benchmark the performance of the Vendor to the expected service levels as mentioned in this Agreement and the Contract. In the event of any deviations from the requirements from the terms of the Contract, the Vendor shall make good the same at no extra costs to the Company, in order to achieve the desired service levels as well as meeting the requirements contained in this Agreement and the Contract.\n8.1.10 It is expressly clarified that the Vendor has examined the bandwidth and sizing requirements of the Company and has recommended that bandwidth required in the present instance. Should the Company need additional bandwidth, not related to change in roll-out plan mutually agreed, for complying with the service level standards, then the Vendor shall pay the incremental costs for procuring the additional bandwidth. Any changes to the sizing parameters shall have commercial implications and the same shall undergo change as per the process of alteration of scope under ARTICLE 3.1.7 above.\n8.1.11 The Vendor understands and acknowledges that except in the event that the Company necessitates an event for an additional payment under ARTICLE 3.1.7 above for alteration of scope, no payment other than the payments as per the payment terms set out in ARTICLE 12.1 below shall be made by the Company to the Vendor.\n8.1.12 All terms and conditions, payments schedules, time frame for implementation, expected service levels, etc. shall remain unchanged unless explicitly communicated by the Company in writing to the Vendor. The Company shall not be responsible for any judgments made by the Vendor with respect Company any aspect of the Project. The Vendor shall at no point be entitled to excuse themselves from any claims by the Company whatsoever for their deviations in confirming to the terms and conditions, payments schedules, expected service levels, time frame for implementation etc. as mentioned in the Contract.\n8.1.13 The Vendor agrees and acknowledges that it shall be hosting sensitive personal data or information of the Company and/or its customers/dealers/clients/distributors and hence it is obligatory on the part of the Vendor to comply at all times with the Information Technology (Reasonable security practices and procedures and sensitive personal data or information) Rules, 2011, as amended from time to time including implementation of the International Standard IS/ISO/IEC 27001 on \"Information Technology - Security Techniques - Information Security Management System - Requirements\" and such other laws, rules applicable from time to time . The Vendor shall implement all safeguards and practices that are legally necessary to protect sensitive personal information and shall use such information only for the purpose for which it is collected and not use or disclose for its own purpose or for the benefit of anyone but the Company.\n8.1.14 The Vendor shall not make any changes in its constitution by transfer of substantial shareholding or issue of such shares which result in a substantial change in the Vendor\u2019s constitution or change in the management of the Vendor without prior intimation to and approval of the Company.\n8.1.15 The Vendor and their respective officers, employees, agents and advisers shall observe the highest standard of ethics during the Contract Period in accordance with the terms of clause 3.6.7 (Corrupt and Fraudulent Practices) of the Tender Document.\n8.1.16 The Vendor acknowledges that the Company has signed Memorandum of Understanding with Transparency International, India for the adoption of the Integrity Pact Program and stands committed to following the principles of transparency, equity and competitiveness in public procurement. The Vendor shall sign the Integrity Agreement as per the format set out in the Tender Document (which is an integral part of Tender Document) and shall at all times comply with the Integrity Agreement.\n8.1.17 The Vendor further represents that:\n(a) Unless specified otherwise by the Steering Committee in writing, the Vendor shall test the Solution for viruses, before installing the same;\n(b) The Vendor has the necessary authorization for the Solution and the Documentation to supply the Solution provided, pursuant to the Contract;\n(c) The Solution does not and shall not in any
