Representations and Warranties True at the Effective Date. The representations and warranties of M3 herein shall be deemed to have been made again as of the Effective Date, and then be true and correct, subject to any changes contemplated by this Agreement. M3 shall have performed all of the obligations to be performed by it hereunder on or prior to the Effective Date.

At the Effective Date, the representations and warranties of Telkonet contained in this Agreement will be true and correct in all material respects at and as of such time, except to the extent affected by the transactions contemplated here by and by the operations of Telkonet as permitted by the provisions of Section 7.02 from the date hereof to the Effective Date, and at the Effective Date, Telkonet shall have delivered to Xxxxxxxx and CAC a certificate to such effect signed by the President of Telkonet.
