Representations and Warranties of the Sun Solar Parties. As an inducement to the consummation of the Transactions, the Sun Solar Parties, jointly and severally, represent and warrant to ConnectM, except as set forth in the schedules of exceptions to the representations of Sun Solar Parties as delivered to ConnectM on the Closing Date (“Disclosure Schedules”), as follows:
