REPRESENTATIONS AND WARRANTIES OF THE COMPANY AND MANNICHE. The Company and Manniche, jointly and severally, represent and warrant to the Buyer that the statements contained in this Article III are true and correct as of the Closing Date, except as otherwise expressly set forth in the Schedules of even date herewith and delivered by the Company on the date hereof (the “Company Schedules,” and, together with the Seller Schedules, the “Schedules”).
