The Assignor hereby represents and warrants to the Assignee that: this Assignment is effective to vest in the Assignee the Security Interest in the Assigned Rights as set forth herein and an International Interest in the Lease Agreement; the Lease Agreement is in full force and effect, has not been amended, and shall not be amended, terminated, renewed or replaced except with the Assignee's prior written consent; it has made no prior assignment of the Lease Agreement or any other Assigned Rights; the Assignor is not aware of any default by the Operator under the Lease Agreement.

The Assignor represents and warrants as follows: (a) the Assignor has full power and authority, and has taken all action necessary to execute and deliver this Assignment Agreement and any other documents required or permitted to be executed or delivered by it in connection with this Assignment Agreement and to fulfill its obligations under, and to consummate the transactions contemplated by, this Assignment Agreement, and no governmental authorizations or other authorizations are required in connection therewith, (b) the Assignor's interest in the Assignor's Note is free and clear of any and all Liens created by or through the Assignor, (c) this Assignment Agreement constitutes the legal, valid and binding obligation of the Assignor, enforceable against the Assignor in accordance with its terms, and (d) the Assignor has received no written notice of any Default having occurred and continuing on the date of execution hereof.
