REPRESENTATIONS AND WARRANTIES OF SELLER AND SHAREHOLDER. Each of Seller and Shareholder, jointly and severally, hereby makes the following representations and warranties, each of which Seller and Shareholder represent and warrant is true and correct on the date hereof and shall be true and correct on the Closing Date and each of which shall survive the Closing Date and the transactions contemplated hereby pursuant to Section 10.1.
