Representations and Warranties by Executive. Executive represents and warrants to the Bank that the execution and delivery by Executive of this Agreement does not and the performance by Executive of his obligations hereunder will not, with or without the giving of notice or the passage of time (or both), (a) violate any judgment, writ, injunction, or order of any court, arbitrator, or governmental agency applicable to Executive, or (b) conflict with, result in the breach of any provisions of or the termination of, or constitute a default under, any agreement to which Executive is a party or by which Executive is or may be bound

Representations and Warranties by Executive. Executive hereby represents and warrants to the Bank Company that the (i) Executive's execution and delivery by Executive of this Agreement does not and the performance by Executive of his duties and obligations hereunder will not, with or without the giving of notice or the passage of time (or both), (a) violate any judgment, writ, injunction, or order of any court, arbitrator, or governmental agency applicable to Executive, or (b) not conflict with, result in the breach of any provisions of or the termination of, or constitute cause a default under, or give any party a right to damages under, or to terminate, any other agreement to which Executive is a party or by which Executive he is bound, and (ii) there are no agreements or may be boundunderstandings that would make unlawful Executive's execution or delivery of this Agreement or his employment hereunder.
