Representations and Warranties as to the Lease Assets. The Seller makes the following representations and warranties as to the Lease Assets on which ACOLT relies in accepting the Lease Assets. Such representations and warranties speak as of the Closing Date, and shall survive the sale, transfer and assignment of the Lease Assets to ACOLT:

Representations and Warranties as to the Lease Assets. On the date hereof, ABLT made certain representations and warranties to the Seller with respect to the Lease Assets being allocated to Series 20 -SN pursuant to Section 3.01 of the Allocation Agreement. The Seller hereby assigns to the Depositor the benefits of those representations and warranties of ABLT made on the Closing Date and hereby represents and warrants to the Depositor that the Seller has taken no action which would cause those representations and warranties of ABLT to be false. The Seller further acknowledges that the Depositor and the Interested Parties rely on the representations and warranties made by the Seller under this Agreement and the representations and warranties made by ABLT under the Allocation Agreement in accepting the Secured Notes and executing and delivering the Notes and the other Transaction Documents. The foregoing representation and warranty speaks as of the Closing Date, but shall survive the sale, transfer and assignment of the Secured Notes to the Issuing Entity and the pledge thereof to the AART Indenture Trustee pursuant to the AART Indenture.
