Common use of Representation by Counsel Clause in Contracts

Representation by Counsel. The Parties acknowledge that (i) they have had the opportunity to consult counsel in regard to this Agreement; (ii) they have read and understand the Agreement and they are fully aware of its legal effect; and (iii) they are entering into this Agreement freely and voluntarily, and based on each Party’s own judgment and not on any representations or promises made by the other Party, other than those contained in this Agreement.

Representation by Counsel. The Parties acknowledge that (ia) they have had the opportunity to consult counsel in regard to this Agreement; , and (iib) they have read and understand the this Agreement and they are fully aware of its legal effect; and (iii) they are entering into this Agreement freely and voluntarily, and based on each Party’s own judgment and not on any representations or promises made by the other Party, other than those contained in this Agreementeffects.

The Parties further acknowledge that the Agreement and they are fully aware terms of its legal effect; and (iii) they are entering into this Agreement freely are the result of negotiations between them and voluntarilythat the terms of this Agreement shall not be construed in favor of, and based on each Party’s own judgment and not on or against, any representations Party by reason of the extent to which a Party or promises made its counsel participated in its drafting, or by reason of the other Party, other than those contained in extent to which this AgreementAgreement may be inconsistent with prior drafts thereof.
