Reports to the Company. Furnish to or place at the disposal of the Company such information, reports, evaluations, analyses, and opinions relating to its administrative functions as the Company may, at any time or from time to time, reasonably request or as the Investment Manager may deem helpful to the Company.

Reports to the Company. The reporting requirements on Forms 3, 4 and 5 are the personal obligation of the reporting person. The Company will assist the reporting person in complying with these reporting requirements. In order to enable the Company to complete and file the reports on the reporting person's behalf, the reporting person must immediately notify the Company when a transaction is consummated. This notification must be received by the Secretary not later than the first business day after the date on which the transaction occurs and must include the following information: (i) date of transaction; (ii) number of shares acquired or disposed of; (iii) price per share; and (iv) number of shares beneficially owned at the end of the month. In addition, the Company will notify reporting persons monthly of the number of shares of Company stock which are shown on the Company's records as being beneficially owned by them as of the end of each month. The reporting person must reconcile this information if it is incorrect.

Charter shall provide the Company with a statement quarterly or more frequently, as the Company may request, in form satisfactory to the Company, with accounting and financial data concerning the annuity business covered by this Agreement sufficient to enable the Company to service its contract owners. Charter shall, within thirty (30) days after written demand therefor, prepare on behalf of the Company reports concerning the business covered by this Agreement sufficient to enable the Company to comply with the reporting requirements of the State of New York and other states in which the Company is doing business, including, but not limited to, reports such as interim requests for information and questionnaires. It is agreed that the intent of this paragraph is that Charter shall provide the Company with all data necessary for the Company to serve its contract owners and comply with the requirements of law and regulatory authorities, in the form required thereby; it is not the intent of the parties to impose upon Charter any duties beyond such requirements.
