REPLACEMENT OF VOTING TRUST CERTIFICATE Clause Examples for Any Agreement

The Replacement of Voting Trust Certificate clause outlines the process for issuing a new voting trust certificate when the original has been lost, destroyed, or otherwise rendered unusable. Typically, this clause requires the certificate holder to provide satisfactory proof of loss and may also require an indemnity bond before a replacement is issued. Its core function is to ensure that shareholders can maintain their voting rights and interests even if their original certificate is no longer available, thereby preventing disruption in governance and protecting both the trust and its beneficiaries from potential fraud or disputes.
